The officers of climate imperative foundation (cif): hal harvey (president) and christina fernandes (treasurer and secretary) are employees of energy innovation policy and technology, llc (ei), the management company. The officers are compensated by the management company for services performed for cif. Ei performed several management services for cif including the following: -strategic consulting and communication -grants administration services -finance and related services -research services -hal harvey received $408,884 of reportable compensation and $38,910 of other compensation during the year. -christina fernandes received $75,782 of reportable compensation and $17,402 of other compensation during the year.

The organization's conflict of interest policy covers the board of directors, officers, and persons with the responsibilities of officers, and any other person determined to have substantial influence over the organization. Each covered person shall annually sign an annual disclosure and compliance statement. Each covered person shall disclose to the board, or to the board committee empowered to approve a specific transaction or type of transaction ("committee"), all material facts regarding his, her, or its interest (including relevant affiliations) in the transaction. The board or committee shall determine if a conflict of interest exists. The board or committee may ask questions of and receive presentation(s) from the covered person(s), but shall deliberate and vote on the transaction in their absence. The minutes of any meeting of the board and any committee pursuant to the policy will document all proceedings related to any transactions considered under the policy.

Financial Statement Notes

PART X, LINE 2:

The foundation is generally exempt from federal and california income taxes under section 501(c)(3) of the internal revenue code and section 23701d of the california revenue and taxation code. In addition, the foundation qualifies for charitable contributions deductions and has been classified as an organization that is not a private foundation. Income that is not related to exempt purposes, less applicable deductions, is subject to federal and state income taxes. There was no tax liability for unrelated business income for the period ended december 31, 2020. Accordingly, no provision for income taxes has been made in the accompanying financial statements.
