Governance Explanations

Form 990, Part VI, Section A, Line 3

The organization utilized the daschle group, a division of baker, donelson, bearman, caldwell & berkowitz pc, for certain managerial services, including lobbying and advocacy assistance. These include services by the secretary/treasurer of the organization, nicole carelli, senior vice president of the daschle group, and by the chairman of the organization, thomas a. Daschle, founder and ceo of the daschle group. The total amount paid to the daschle group for management services was $263,245 during 2023.

Form 990, Part VI, Section A, Line 6

The organization has multiple classes of voting members, which are as follows: public health organization members; patient advocacy members; academic, scientific, and research organization members; health care professional members; emerging biotech members; vaccine, antiviral, and diagnostic manufacturer members; and other influenza stakeholders. Each member has one vote on matters coming before all of the members. Each member also has one vote for any matter voted on only by their class of members.

Form 990, Part VI, Section A, Line 7A

Each class of members elects a director to represent their membership class on the executive committee. Also, one director will be elected by the entire membership. In addition, nonprofit members may elect designated non profit representatives regardless of class. The amount of designated nonprofit representatives is determined annually as to provide an equitable distribution of directors between nonprfofit members and other memberes.

Form 990, Part VI, Section A, Line 7B

All membership classes may vote on governance decisions that come before the members. Each member has one vote that all count equally. Currently, the membership has only voted on directors.

Form 990, Part VI, Section A, Line 8B

The organization did not have any separate committees during 2023, only the board.

Form 990, Part VI, Section B, Line 11B

The governing board designates the secretary/treasurer to review the form 990 before filing.

Form 990, Part VI, Section C, Line 19

Documents are made available upon request.

FORM 990, PART VII, SECTION B, LINE 1A:
