Evolve houston is contracted with ldr advisory services llc (d/b/a "ldr advisory partners") to manage its programs and provide various management operational and administrative services pursuant to a services agreement dated december 6, 2019.

Pursuant to its bylaws, evolve houston's directors are appointed as follows: one director is appointed by the mayor of the city of houston; one by the president of the university of houston; one by centerpoint energy inc.; one by nrg energy, inc.; and one by shell oil company.

Form 990 is prepared internally by staff and reviewed by accounting and legal counsel. The board of directors has delegated to management the responsibility to review the form 990 with staff and approve filing with the irs. Following management's review and approval of the form 990, management submits the form 990 to the board of directors for their perusal. Form 990 is filed in a timely manner following submission to the board of directors.

Form 990, Page 6, Part VI, Line 12C

Evolve houston's conflict of interest policy applies to directors, officers, and staff of the corporation. Determination of whether a conflict of interest exists is made at the board of directors level. The policy defines interest, conflicts of interest, and prohibits directors, officers, and employees from using their positions in any manner such that a conflict might arise between the corporation's interest and that of the director, officer, or employee. In all related matters, the persons having a conflict of interest shall not participate or attend, vote on, or use his or her personal influence on an action defined as a possible conflict. Any director, officer, or key employee having an interest shall make a prompt, full, and frank disclosure of his or her interest to the board of directors at the first meeting of the board after becoming aware of the conflict or potential conflict; all individuals are required to disclose a possible conflict before the board takes related action. The conflict of interest policy is distributed to each director, officer, and key employee annually. Each must attest to their understanding and agree to be governed by and to abide by all of the principles and polices set forth therein. Directors and officers are specifically asked to provide a list of potential businesses or organizations with which they or a family member are an officer, director, trustee, member, owner, shareholder (with a 5% or greater interest), or employee as it relates to a relationship, transaction, contract, or other arrangement with the corporation.

Evolve houston currently does not compensate its officers. Instead, its management is compensated through its independent contractor (the management company), ldr advisory services llc. Prior to its services agreement with ldr advisory services llc, evolve houston's board of directors solicited bids from other professional services firms for similar services, discussed comparable rates for such services, and determined that evolve houston would pay no more than fair market value. Evolve houston documented this process in its board meeting minutes.
