Mission and Program Overview

Mission

The general purposes for which the corporation is formed are: (a) to engage in charitable activities consistent with the philanthropic objectives of ares management and its founders and employees, with a focus on education, health care, environmental and social concerns; (b) to solicit, receive, and accept donations, gifts, bequests, grants, income and other things of value; (c) to engage in grant-making to unrelated organizations and institutions for charitable purposes with a focus on education, health care, environmental and social concerns; and (d) to engage, whether alone or in conjunction with others, directly or indirectly, in any other lawful act or activity for which corporations may be organized under the dgcl, and by virtue of such statement all lawful acts and activities shall be within the purposes of the corporation, except for express limitations, if any.

Ares foundation's mission is to help accelerate economic equity and equality by supporting nonprofits and initiatives that provide career preparation and reskilling, encourage entrepreneurship and deepen individuals' understanding of personal finance.

This conflict of interest policy applies to officers, key employees and members of the board of directors (each a "director and collectively, the "board") of ares charitable foundation, a delaware nonstock, nonprofit corporation (the "corporation'). All persons covered under this conflict of interest policy (directors, officers and key employees of the corporation) are hereinafter collectively referred to as "covered persons." disclosure of actual or potential conflicts of interest: covered persons are under a continuing obligation to disclose any actual or potential conflict of interest as soon as it is known or reasonably should be known. Prior to election, appointment, or hiring, as appropriate, and annually thereafter, each covered person completes a conflict of interest disclosure statement ("disclosure statement"), to fully and completely disclose the material facts about any actual or potential conflicts of interest he or she might have. If at any time during a covered person's term of service circumstances arise that could give rise to a related party transaction, or any other real or potential conflict of interest, he or she will promptly submit a disclosure statement to the board disclosing in good faith all relevant material facts. For all covered persons, disclosure statements are provided to the secretary of the corporation (on behalf of the board). The secretary of the corporation provides copies of all disclosure statements to be filed with the official records of the corporation so that each statement is available to any director on request. Procedures for review of actual or potential conflicts: whenever there is reason to believe that an actual or potential conflict of interest exists between the corporation and a covered person, the disinterested directors shall be responsible for reviewing the matter and determining an appropriate organizational response to protect the interests of the corporation. This response may include, but is not necessarily limited to, further board review or invoking the procedures described below with respect to a specific proposed action or transaction. Procedures for addressing conflicts of interest for specific transactions: if it is determined that an actual or potential conflict of interest exists between the interests of the corporation and a covered person with respect to a specific proposed action or transaction, the corporation refrains from the proposed action or transaction until such time as the proposed action or transaction has been approved by the disinterested directors. The following procedures apply: - a covered person who has an actual or potential conflict of interest with respect to a proposed action or transaction of the corporation will not participate in any way or be present during the deliberations and decision making of the corporation with respect to such action or transaction. The covered person may, upon request, be available to answer questions or provide material factual information about the proposed action or transaction prior to any deliberation on the proposed action or transaction; however, a covered person is prohibited from improperly influencing the deliberation or voting on the proposed action or transaction giving rise to the actual or potential conflict. -the disinterested directors may approve the proposed action or transaction upon finding that it is in the best interests of the corporation. The disinterested directors consider whether the terms of the proposed action or transaction are fair, reasonable and in the corporation's best interest. The foundation is exempt from taxation under internal revenue code section 501(c)(3) and california revenue and taxation code section 23701d. In accordance with the fasb's accounting standards codification topic no. 740, uncertainty in income taxes, the foundation recognizes the impact of tax positions in the financial statements if that position is more likely than not to be sustained on audit, based on the technical merits of the position. During the year ended december 31, 2023, the foundation evaluated uncertain tax positions and did not note any matters that would require recognition in the financial statements, or which might affect its tax-exempt status. The foundation's income tax returns remain subject to examination for all tax years ended on or after december 31, 2019, with regard to all tax positions and results reported.
