“This conflict of interest policy applies to officers, key employees and members of the board of directors (each a "director and collectively, the "board") of ares charitable foundation, a delaware nonstock, nonprofit corporation (the "corporation'). All persons covered under this conflict of interest policy (directors, officers and key employees of the corporation) are hereinafter collectively referred to as "covered persons." disclosure of actual or potential conflicts of interest: covered persons are under a continuing obligation to disclose any actual or potential conflict of interest as soon as it is known or reasonably should be known. Prior to election, appointment, or hiring, as appropriate, and annually thereafter, each covered person completes a conflict of interest disclosure statement ("disclosure statement"), to fully and completely disclose the material facts about any actual or potential conflicts of interest he or she might have. If at any time during a covered person's term of service circumstances arise that could give rise to a related party transaction, or any other real or potential conflict of interest, he or she will promptly submit a disclosure statement to the board disclosing in good faith all relevant material facts. For all covered persons, disclosure statements are provided to the secretary of the corporation (on behalf of the board). The secretary of the corporation provides copies of all disclosure statements to be filed with the official records of the corporation so that each statement is available to any director on request. The following procedures apply: - a covered person who has an actual or potential conflict of interest with respect to a proposed action or transaction of the corporation will not participate in any way or be present during the deliberations and decision making of the corporation with respect to such action or transaction. “The foundation is exempt from taxation under internal revenue code (irc) section 501(c)(3) and california revenue and taxation code section 23701d and is generally not subject to income taxes. Accordingly, a provision for federal or state income taxes is not recorded in the accompanying financial statements. The foundation is further classified as a public charity pursuant to irc sections 509(a)(1) and 170(b)(1)(a)(vi). However, the foundation is subject to income taxes on any net income that is derived from a trade or business activity, regularly carried on, and not in furtherance of the purposes for which it was granted exemption. For the year ended december 31, 2024, in the opinion of management, the foundation did not have net income from any unrelated trade or business activity. Accordingly, no income tax provision has been recorded in the accompanying financial statements. In accordance with financial accounting standards board (fasb), accounting standards codification (asc) topic no. 740, uncertainty in income taxes, the foundation recognizes the impact of tax positions in the financial statements if that position is more-likely-than-not to be sustained on audit, based on the technical merits of the position. The foundation has evaluated its tax positions and the certainty as to whether those positions will be sustained in the event of an audit by taxing authorities at the federal and state levels. The primary tax positions evaluated relate to the foundation's continued qualification as a tax-exempt organization and material income tax liability. Management has determined that all income tax positions will more-likely-than-not be sustained upon potential audit or examination. Therefore, no disclosures of uncertain income tax positions are required. The foundation's tax returns remain subject to examination generally for three and four years after they were filed for federal and state, respectively.”

WE CONTINUE TO DIVERSIFY OUR FUNDING BASE AND REDUCE RELIANCE ON ANY SINGLE DONOR OR PRIVATE FOUNDATION. IN ITS EARLY YEARS OF EXISTENCE, THE FOUNDATION LIMITED THE SCOPE OF ITS SOLICITATIONS TO PERSONS DEEMED MOST LIKELY TO PROVIDE SEED MONEY IN AN AMOUNT SUFFICIENT TO ENABLE IT TO COMMENCE ITS CHARITABLE ACTIVITIES AND EXPAND ITS SOLICITATION PROGRAMS. WITHOUT THE SUPPORT OF ITS LARGEST DONOR, THE ORGANIZATION'S PUBLIC SUPPORT WOULD BE APPROXIMATELY TWICE THE 33 1/3% REQUIREMENT. HOWEVER, WITHOUT THIS SUPPORT, THE ORGANIZATION COULD NOT HAVE FULFILLED ITS MISSION TO HELP ACCELERATE ECONOMIC EQUITY AND EQUALITY BY SUPPORTING INITIATIVES THAT PROVIDE CAREER PREPARATION AND RESKILLING, ENCOURAGE ENTREPRENEURSHIP, AND DEEPEN INDIVIDUALS' UNDERSTANDING OF PERSONAL FINANCE. 2.
