Project Commotion is California 501(c)3 nonprofit, founded in 2006. Its mission is to foster healthy development in children of all abilities through purposeful movement, play, and family and community relationships. Project Commotion provides bilingual English/Spanish movement arts programming to children and families, with a focus on serving children with special needs. Programming takes place at our movement studio, in schools and preschools, and other community partner facilities.

“Emailed draft to all board members for review and questions, we held a meeting to review the draft and address those questions internally, then with the CPA (tax preparer). Once all questions were answered, final draft was sent via email for review and approval by vote.”
“(a) Duty to Disclose: In connection with any actual or possible conflict of interest,an interested person must disclose the existence of the financial interest and be given the opportunity to disclose all material facts to the directors and members of committees with governing board delegated powers considering the proposed transaction or arrangement.(b) Determining Whether a Conflict of Interest Exists: After disclosure of the financial interest and all material facts, and after any discussion with the interested person, he/she shall leave the governing board or committee meeting while the determination of a conflict of interest is discussed and voted upon. The remaining board or committee members shall decide if a conflict of interest exists.(c) Procedures for Addressing the Conflict of Interest: If it is determined a conflict of interest exists, the Chair of the Board (or any person acting as Chair for the meeting) shall make a motion to acknowledge the conflict of interest without taking further action. If that motion is approved by a majority of directors present (absent the director(s) with the conflict of interest), the board will take no further action on the conflict of interest. This action will in no way nullify or excuse a violation of the conflict of interest policy prior to or following this action. If the board of directors wishes to take action to investigate the conflict of interest,an interested person may make a presentation at the governing board or committee meeting. After the presentation, he/she shall leave the meeting during the discussion of, and the vote on, the transaction or arrangement involving the possible conflict of interest.”
