Management believes that Arroyo has appropriate support for any tax positions taken affecting its annual filing requirements, and as such, does not have any uncertain tax positions that are material to the financial statements. Arroyo would recognize future accrued interest and penalties related to unrecognized tax benefits and liabilities in income tax expense if such interest and penalties are incurred.

MACLT entered into a 99-year ground lease to lease land to Arroyo Crossing on which Arroyo Crossing intends to construct and lease new permanently affordable housing and a community facility to MACLT, thereby furthering one of the tax-exempt, charitable purposes of MACLT. One of the directors of MACLT is appointed to serve as member of Arroyo Crossing's Board of Directors. This director also serves as Secretary and Treasurer of Arroyo Crossing. Arroyo Crossing and MACLT share offices, all of which evidence a close and continual relationship as well as a significant voice in investment policies. For example, Arroyo Crossing paid for Earthwork expense to prepare the land for the construction of housing.
