A conflict of interest may exist when the interests or activities of any director, officer or staff member may reasonably be seen as competing with the interests and activities of the organization, or he or she derives a financial or other material gain as a result of the direct or indirect relationship. Any activity, practice or act which could give rise to a potential or perceived conflict of interest, no matter how small or insignificant, is to be reported to the board of directors and approved prior to engaging in such activity, practice, or act. The board of directors shall adopt a conflict-of-interest policy, which shall be furnished to each director, officer and senior staff member serving the organization on an annual basis and to each person who may become associated with the organization in such capacity. The conflict-of-interest policy shall be reviewed annually for the information and guidance of directors, officers and staff members and any new director, officer and staff member shall be advised of the policy upon undertaking the duties of such position.”
