Governance Explanations

Form 990, Part VI, Section A, line 1

The Executive Committee shall consist of the Chair, Vice Chair, the Secretary, the Treasurer and the Immediate Past Chair. The Executive Vice President of Philanthropy shall serve ex officio with voice but no vote on the Executive Committee. Members of the Executive Committee are also members of the Board of Directors. The Executive Committee acts on behalf of the Board pursuant to the policies and procedures established on an ongoing basis during the year. The Executive Committee shall report regularly and routinely to the Board concerning its activities on behalf of the organization.

Form 990, Part VI, Section A, line 7A

The Board of Directors is a voluntary Board appointed by the Trustees of Bozeman Deaconess Health Services, dba Bozeman Health.

Form 990, Part VI, Section B, line 11

The Executive VP of Philanthropy of the Foundation and the CFO/VP of Finance of the Hospital will review the draft Form 990 prior to the Foundation's Finance Committee's review. The Board of the Foundation will approve the final copy of the 990 prior to filing.

Form 990, Part VI, Section B, line 12C

All Board Members, Officers, and Senior Administration are covered by the conflict of interest policy and are required to annually complete a conflict of interest form disclosing any potential conflicts of interest. In-house Counsel identifies any potential conflicts and informs the Board Chair. The Board Chair discusses the conflict and decides whether the conflict is of such nature to exclude the conflicted party from discussion and/or vote.

Form 990, Part VI, Section B, line 15A

The Hospital CEO receives a formal report by an independent third party qualified to perform a compensation review. This is presented by the Hospital CEO to the Foundation Executive Committee (empowered by the Foundation's Board of Directors to serve as the Compensation Committee). The Foundation Executive Committee determines the compensation of the Executive VP of Philanthropy based on the compensation review. This process is completed annually.

Financial Statement Notes

Part V, Line 4:

Each endowment fund is privy to a separate agreement. Donations made for each purpose shall be received, held and invested by the Foundation according to established policies governing gift acceptance, investment and distribution. The principal of the Fund shall be retained in perpetuity. The interest income is utilized for the greatest needs of the designated department. Policy says the organization can use a portion of interest for operations.

Part X, Line 2:

The Foundation is organized as a Montana not-for-profit corporation and has been recognized by the Internal Revenue Service (IRS) as exempt from federal income taxes under Internal Revenue Code Section 501(c)(3). The Foundation operates pursuant to Section 509(a)(1) and 170(b)(l)(A)(vi) of the Internal Revenue Code. The Foundation is annually required to file a Return of Organization Exempt from Income Tax (Form 990) with the IRS. The Foundation believes that it has appropriate support for any tax positions taken affecting its annual filing requirements, and as such, does not have any uncertain tax positions that are material to the financial statements. The Foundation would recognize future accrued interest and penalties related to unrecognized tax benefits and liabilities in income tax expense if such interest and penalties are incurred.

IRS990/ProgSrvcAccomActy2Grp/Desc0EDUCATION AND TRAINING RESOURCES FOR BOZEMAN HEALTH: Bozeman Health is working to achieve Magnet status. The Magnet Recognition Program was developed by the American Nurses Credentialing Center (ANCC) to recognize health care organizations that provide nursing excellence. The program also provides tools for disseminating successful nursing practices and strategies. Charitable funds designated toward nursing salaries were utilized to cover salary expenses for nursing staff while receiving specialized training and education in pursuit of Magnet recognition. Additional funds were utilized for education in the following ways: Kohl's Kids Eat Smart programs were offered. The Diabetes Center provided education through the ACT Now program and maintained the Montana Cardiovascular/Diabetes Prevention Program. Eat Right Montana provided funding for education on lactation for new mothers within the Family Birth Center. Additional training was provided for nurses and Emergency Department staff on for treatment and forensics of sexual assault victims. Grant money received specifically for Emergency Preparedness was transferred to purchase HAM radios, enhanced personal protective equipment, and train staff in disaster situations.

IRS990/ProgSrvcAccomActy3Grp/Desc0PURCHASE OF TECHNOLOGY AND EQUIPMENT FOR BOZEMAN HEALTH: In an ongoing effort to maintain and expand state-of-the-art medical technology for patients served by Bozeman Health, charitable funds were used to acquire essential technology. Funds helped to purchase an Intravascular ultrasound (IVUS) and a Catalyst upgrade for the Heart Center. The Hillcrest Senior Living Community made significant improvements to its interior spaces. In efforts to improve community outreach, the health component of the BDHS website was significantly improved. Funds have been transferred to expand the telemedicine programs, including the purchase of a polycan unit. Telemedicine is playing a vital role in lowering barriers for patients to receive medical treatment, monitoring and emergency support. New beds, a lift chair, and mattresses were purchased for Hospice. We awarded 12 AEDs throughout the community as part of Gallatin Heart Rescue in an effort to save lives of a person having a sudden cardiac arrest when a defibrillator is at hand.

The Cancer Center Patient Care Fund assisted patients with special needs for transportation, medications, utilities and other issues creating financial hardship. No cost mammography services were provided to a significant number of un- and under-insured women through the collaborative community program. Support was given to hospital employees experiencing emergent financial difficulties. Music, massage therapies, and financial assistance were provided for Hospice patients. Art programs at Hillcrest Senior Living were funded by a designated grant and the third annual Active Aging Week was conducted.
