Governance Explanations

Form 990, Part VI, Section A, Line 1

The executive committee shall consist of the president, the vice president, the secretary, the treasurer and the immediate past president. The executive vice president of philanthropy shall serve ex officio with voice but no vote on the executive committee. Members of the executive committee are also members of the board of directors. The executive committee acts on behalf of the board pursuant to the policies and procedures established on an ongoing basis during the year. The executive committee shall report regularly and routinely to the board concerning its activities on behalf of the organization.

The board of directors is a voluntary board appointed by the trustees of bozeman deaconess health services.

Form 990, Part VI, Section B, Line 11

With the executive vp of philanthropy of the foundation currently vacant, the cfo/vp of finance of the hospital will review the draft form 990 prior to the foundation's finance committee's review. The board of the foundation will approve the final copy of the 990 prior to filing.

Form 990, Part VI, Section B, Line 12C

All board members, officers, and senior administration are covered by the conflict of interest policy and are required to annually complete a conflict of interest form disclosing any potential conflicts of interest. In-house counsel identifies any potential conflicts and informs the board chair. The board chair discusses the conflict and decides whether the conflict is of such nature to exclude the conflicted party from discussion and/or vote.

Form 990, Part VI, Section B, Line 15A

The hospital ceo receives a formal report by an independent third party qualified to perform a compensation review. This is presented by the hospital ceo to the foundation executive committee (empowered by the foundation's board of directors to serve as the compensation committee). The foundation executive committee determines the compensation of the executive vp of philanthropy based on the compensation review. The process was performed in fall of 2012 to determine 2013 compensation.

Financial Statement Notes

PART V, LINE 4:

Each endowment fund is privy to a separate agreement. Donations made for each purpose shall be received, held and invested by the foundation according to established policies governing gift acceptance, investment and distribution. The principal of the fund shall be retained in perpetuity. The interest income is utilized for the greatest needs of the designated department. Policy says the organization can use a portion of interest for operations.

PART X, LINE 2:

The foundation is organized as a montana not-for-profit corporation and has been recognized by the internal revenue service (irs) as exempt from federal income taxes under internal revenue code section 501(c)(3). The foundation operates pursuant to section 509(a)(1) and 170(b)(l)(a)(vi) of the internal revenue code. The foundation is annually required to file a return of organization exempt from income tax (form 990) with the irs. The foundation believes that it has appropriate support for any tax positions taken affecting its annual filing requirements, and as such, does not have any uncertain tax positions that are material to the financial statements. The foundation is no longer subject to federal tax examinations by tax authorities for years before 2010.
