Governance Explanations

Form 990, Part VI, Section A, line 4

DPS Foundation made the following changes to its bylaws: -Changed reference from Corporation to Foundation -Reduced officer terms from two years to one year -Added clarification all officers' terms expire at the same time; thus electing all officers every year

Form 990, Part VI, Section B, line 11

Before filing the Form 990, a copy of the entire Form 990 is included in the board packet sent to each board member. A detailed review of the Form 990 is performed by the audit committee and board treasurer. After their review, they recommend approval by the entire board of directors. Approval of Form 990 is documented in the board meeting minutes.

Form 990, Part VI, Section B, line 12C

Annually all board of directors and all employees are obligated to complete and sign a conflict of interest form disclosing any and all potential conflicts of interest. All potential conflicts of interest listed are reviewed by the President/CEO and Board Chair to determine appropriate action necessary to mitigate any potential conflict. Appropriate action may involve disallowing the person to conduct transactions, prohibiting the person from participation in the board's deliberations and abstaining from voting on those matters and ceasing to conduct business with an individual or organization. The board of directors are notified of all potential conflicts of interest as well as any action taken to mitigate the potential conflict.

Form 990, Part VI, Section B, line 15

The executive committee of the board of directors determines compensation for the President/CEO. The executive committee considers the skill set of the President/CEO, considers past performance, reviews compensation at other similarly-sized not-for-profit organizations, consults with an executive coach/consultant about trends and reviews the current economy to determine compensation. Compensation is reviewed annually for the President/CEO and this review was last conducted in 2015. Compensation for all other employees is determined by the skill set of the employee, past performance and is based on current market practices for similar duties performed by individuals in organizations of similar size. Compensation is directly approved by the President/CEO and ultimately approved by the board as part of its approval of the annual budget.

Form 990, Part VI, Section C, line 19

Governing documents, conflict of interest policy and financial statements are all available to the public upon request. In addition, certain governing documents are available from others' websites and a financial summary is available in our annual report to the public.

Supplemental Narrative

Additional Explanations

Form 990, Part V, Line 2A

Number of employees reported on Form W-3: Denver Public Schools Foundation co-employs its employees through an unrelated professional employer organization (PEO) and, as such, the PEO is responsible for filing Forms W-2 and all payroll tax reports. Salaries and payroll taxes paid through the PEO are reflected as if DPS Foundation were the sole employer for purposes of the functional expenses and compensation information.

Form 990, Part XII, Line 2C:

Denver Public Schools Foundation has an audit committee that assumes responsibility for oversight of the audit and selection of an independent accountant. There were no changes to the procedures followed by the audit committee in performing these responsibilities in 2014-15.

Financial Statement Notes

Part V, Line 4:

Denver Public Schools Foundation has two endowment funds, which are held at the original gift amount in perpetuity. The first endowment fund does not have stipulations on the distribution of earnings and, accordingly, the distributions are unrestricted to DPS Foundation and can be used for general operating support or any needs of DPS Foundation. The second endowment fund does have stipulations on the earnings. Distributions of earnings from the second endowment fund are restricted to be used for the A to Z Fund.

Part X, Line 2:

Denver Public Schools Foundation follows Accounting for Uncertainty in Income Taxes accounting standard which requires it to determine whether a tax position (and the related tax benefit) is more likely than not to be sustained upon examination by the applicable taxing authority, based solely on the technical merits of the position. DPS Foundation believes it has appropriate support for any tax position taken, and as such, does not have any uncertain tax positions that are significant to the financial statements. DPS Foundation's federal Return of Organization Exempt From Income Tax (Form 990) for the previous three years are subject to examination by the IRS, generally for three years after they were filed.

IRS990/Desc0Grants made to Denver Public Schools (DPS) to support its relentless pursuit of student achievement impacted several key areas of focus including school innovation, leadership development, preparing students for college and career, literacy programs, grants to classrooms and schools, science, technology, engineering and math (STEM) education, health and wellness and afterschool programs. DPS Foundation grants are in direct service to DPS students, schools, educators and school leaders. DPS serves over 90,000 students in nearly 200 schools.See continuation on Schedule O.DPS Foundation partnered with foundations, corporations, parents, employees, alumni and other members of the community to support programs and schools district-wide. Supported by our ever-increasing donor base, DPS Foundation is helping address the challenges facing our public school system by granting over $14 million to DPS for priority programs and critical needs in fiscal year 2014-15.Thanks to our donors' generosity, DPS is implementing programs and strategies to address the greatest priority areas and needs in our schools. As a result, DPS students have posted the highest year-to-year growth among Colorado's 20 largest districts for the last several years.College and career readiness programs have helped DPS increase on-time graduation rates by 24 percentages points in six years, while cutting dropout rates in half. DPS is the fastest growing urban school district in America, a testament to the community's confidence in the direction and leadership of our public school system.Gifts to DPS Foundation have tangible and lasting impact in our schools. With guidance from the Denver Plan 2020, the bold strategic plan for DPS, we fund system-wide core programs that replicate the highest-performing and most exciting strategies that help our children in and outside of the classroom.
