The executive committee of the board consists of the chair of the board, the executive director, and other board members as designated by the chair. The executive committee has the power to transact all regular business of the organization during the interim between meetings of the board, provided that any action taken by the executive committee cannot conflict with the articles of incorporation, bylaws, or the policies or express wishes of the board. The executive committee reports all matters acted upon to the board at the board's next meeting.

All management services are provided through a contract with sisters of charity of leavenworth health system.

One board member is appointed by st. Mary's hospital and regional medical center. Two board members are appointed by the sisters of charity of leavenworth.

The form 990 was reviewed by certain members of senior management. A copy of the form 990 was provided to the board of directors prior to filing the form 990 with the internal revenue service.

Form 990, Part VI, Section B, Line 12C

The organization's executives, directors, managers, and board members complete a new conflict of interest (coi) disclosure form each year. A copy of the policy is distributed along with the coi forms. In the event of a change of circumstance, each individual who has already signed a coi is expected to notify the organization of the change and update the conflict of interest information. The statements are reviewed and coi issues are addressed at the appropriate level, which is generally the board chair. At the beginning of board and board committee meetings, the question of coi is asked of those in attendence. When an actual conflict is identified, the individual is excused from participating in the discussions and decision-making.

Form 990, Part VI, Section B, Line 15

In 2017, a comprehensive wage study was done for all of marillac's positions; including senior leadership. Marillac contracted with mountain states employers council, inc. (msec) to perform this study. Msec used a variety of local, regional, and national resources to do their analysis and generate their recommendations. These comprehensive wage studies are conducted every other year, so another study will be conducted in 2019.

In 2016, marillac clinic added a behavioral health director to build a behavioral health program. In 2017, we added three behavioral health providers to begin providing integrated behavioral health services to our medical patient base.

The organization has previously received notice of exemption of income tax from the internal revenue service under section 501(c)(3) of the federal internal revenue code. The organization is not a private foundation, and contributions to the organization qualify as charitable tax deductions by the contributor. The organization follows the accounting standards regarding the recognition and measurement of uncertain tax provisions. The implementation of the accounting standards regarding uncertain tax provisions had no impact on the organization's financial statements. The organization is not aware of any activities that would jeopardize its tax-exempt status or aware of any activities that are subject to tax on unrelated business income or excise or other taxes.

THE SFS TAKES INTO ACCOUNT THE PATIENT'S INCOME AND HOUSEHOLD SIZE. DISCOUNTED SERVICES ARE AN IMPORTANT PART OF OUR MISSION AND VISION FOR HEALTH CARE THAT IS AFFORDABLE AND ACCESSIBLE TO ALL.PRIMARY MEDICAL CARE INCLUDES SCREENINGS AND OTHER PREVENTIVE SERVICES SUCH AS CANCER SCREENINGS, WELL-CHILD VISITS, ACUTE CARE, CHILD AND ADULT IMMUNIZATIONS, AND CHRONIC DISEASE MANAGEMENT WHICH IS PROVIDED DIRECTLY BY MARILLAC PHYSICIANS AND NURSE PRACTITIONERS/PHYSICIAN ASSISTANTS. AS NEEDED, THE PATIENT'S MEDICAL APPOINTMENT IS ENHANCED WITH A SHORT VISIT (CALLED A "BRIEF INTERVENTION") FROM A BEHAVIORAL HEALTH PROVIDER FOR ASSISTANCE WITH PROBLEM-SOLVING, CRISIS COUNSELING, SELF-CARE TIPS & COMMUNITY RESOURCES. THIS INTEGRATED CARE APPROACH REMOVES STIGMA AND/OR BARRIERS TO SEEKING HELP, AND IS VERY EFFECTIVE IN HELPING LOW INCOME, VULNERABLE PATIENTS TO BE SUCCESSFUL IN REDUCING STRESS, DEPRESSION AND ANXIETY WHILE TEACHING THEM TO MANAGE THEIR CHRONIC DISEASES AND IMPROVE THEIR HEALTH.OPTICAL CARE INCLUDES COMPREHENSIVE AND EMERGENCY VISION SERVICES.
