The Form 990 is reviewed in detail by the members of the Zoo's Finance Committee. After the committee's approval, a copy of the Form 990 is made available to all members of the board for review, prior to its filing with the IRS.

Form 990, Part VI, Section B, line 12C

Conflict of interest questionnaires are completed annually by all officers, directors or trustees, and key employees. Trustees who have a beneficial interest in a decision are excused from discussion and voting rights. Also, if the item of purchase is a tangible asset with potential conflicts of interest, staff is required to get multiple bids for the item.

Form 990, Part VI, Section B, line 15

There are several factors, monetary and nonmonetary, that are considered in determining executive compensation. These business-related factors include: Budget: Does the budget allow for any flexibility in the offer and what is the relative financial health of our organization? Internal equity: What are other executives in the same type of job or at the same job level being paid? Market price/external demands: Is this job difficult to fill or is it hard to find qualified candidates in this location or industry? Candidates' level of experience: How many years of relevant experience does this person bring to the table? Candidates' education level: What degrees does the person have that will benefit our organization? Candidates' current compensation package: What is this person's current base pay and benefits package? Salary surveys: What are other executives in the same type of job being paid at other non-profit organizations of the same size? Once the salary is determined, the executive committee (which consists of independent board members) reviews this information. Written employment agreements are also used.

The Denver Zoological Foundation's Board of Trustees assume the responsibility for oversight of the audit of its financial statements and selection of an independent accountant. This process has not changed from prior years.

Financial Statement Notes

Part X, Line 2:

The Foundation adopted the Accounting for Uncertainty in Income Taxes accounting standard which requires the Foundation to determine whether a tax position (and the related tax benefit) is more likely than not to be sustained upon examination by the applicable taxing authority, based solely on the technical merits of the position. The Foundation believes it has appropriate support for any tax positions taken, and as such, does not have any uncertain tax positions that are significant to the financial statements. The Foundation's Returns of Organization Exempt from Income Tax (Forms 990) for the previous three years are subject to examination by the IRS, generally for three years after initial filing.

Billy was the first male Asian elephant imported to North America in more than 30 years. Staff was sent to Belgium and began working with Billy weeks before the import, to familiarize themselves with him and allow Billy to feel comfortable with his new keepers. Then, on June 23, staff began Billy's routine a bit early, ultimately taking a direct flight to Denver with two vets and two members of the animal care team to ensure he was comfortable and safe. He arrived to staff waiting in Denver that had painstaking planned his safe final leg of travel to the zoo.The young bull became the third male elephant in the zoo's new Toyota Elephant Passage exhibit. Billy, being unrelated to most of the elephants in the U.S., will ultimately support the Association of Zoos and Aquariums Species Survival Plan with valuable genetics as he is unrelated to most elephants in the U.S. Genetic diversity is important to ensure a sustainable population of zoo elephants in North America. This effort showcases Denver Zoo's commitment to animals and ensuring the wellbeing of Asian elephants in zoos for years to come. There are less than 35,000 Asian elephants in the world today and without strategic breeding programs and assurance populations in zoos, these endangered animals are at risk of becoming extinct within our lifetime. Conservation & Biology:Denver Zoo joined more than 200 other wildlife conservationists, representing more than 40 zoos and wildlife programs in 36 countries, at 2013 Zoos and Aquariums Committing to Conservation Conference (ZACC). The meeting called on governments around the world to increase resources needed to combat the alarming rise in the illegal wildlife trade. Thanks in part to Denver Zoo conservation activities, Tonkin snub-nosed monkeys, a critically endangered primate species found only in northern Vietnam, recorded their highest population numbers ever in an October 2013 survey. The zoo's efforts have included studying the monkeys' resource needs and educating the local community about the species' plight.Aztai, a wild-born, cinereous vulture made her public debut. The young bird was rescued and brought to Denver Zoo from Mongolia after experts determined she would not be able to survive in the wild due to a damaged wing. A female named Blossom was born to parents Layla and Woody in March. She was followed in November by Stitch, a male born to the same parents. Gerenuk gestation is seven months and it is common for them to have three calves in a four year period.Grevy's Zebra calvesDenver Zoo also welcomed two new endangered Grevy's zebra foals, female Zena in June and male Summit in August. The first, a female named Zena, was born in June to mother Topaz. The second, a male named Summit, was born in August. There are fewer than 2000 Grevy's zebras living in the wild.Snow Leopard CubIn May, Denver Zoo welcomed the birth of an endangered female snow leopard cub named Misha to mother, Natasha, and father, Himal. Although this is Himal's first cub, Natasha is an experienced mother having given birth to cubs in 2005, 2007 and 2008. The birth was celebrated greatly among zoos as this species is rare. Przewalski's HorseOn May 31, Denver Zoo celebrated the birth of an endangered Przewalski's (sheh-VAL-skee's) horse, a female named Sube. She was not only the first birth for mother, Yisun, and father, Bataar, but also the first birth of her species at the zoo since 1991.
