Governance Explanations

Form 990, Part VI, Section A, Line 2

Form 990, Part VI, Section A, Line 2 - Family relationship: Sherry Fincher (Board Chair) is the mother-in-law of Jennie Fincher (Director). Family relationship: Michael Perry (Director / President) is the husband of Valina Perry (Vice President).

Form 990, Part VI, Section B, Line 11B

Completed Form 990 was submitted to entire current board of directors for review and approval to file was received by board motion/second/vote during board meeting before it was filed with the IRS.

Form 990, Part VI, Section B, Line 12C

Conflict of interest policy is signed annually by officers and directors. Details of each financial transaction and vendor relationship of the organization are reported to the entire board for review.

Form 990, Part VI, Section B, Line 15

In 2020, the Board of Directors recognized the importance of implementing compensation for the Chief Executive (and potentially other key positions) to promote excellence in leadership and foster growth for the organization during a quarterly board meeting. The Board of Directors held a special sessions to discuss compensation based on the organization's current size and financial position in comparison with independent nonprofit analytics for CEO/President compensation (for example, reports by Guidestar and Excellence in Giving) and voted to establish initial compensation. The Board of Directors also voted to task the Executive Committee with the quarterly establishment of performance goals and annual review of compensation packages for the CEO/President (as well as any key employees and/or contractors), with decisions to be subject to review by Board of Directors. The CEO/President is available to the Board of Directors and Executive Committee for discussion regarding role, responsibilities, and compensation, but is recused from all motions and voting. The Board of Directors voted and approved CEO/President compensation as an independent contractor to begin in October 2020; compensation will be reviewed by the Executive Committee in 2021 before the Annual Meeting. The Board of Directors voted to budget for the independent contractor of Marketing Director beginning 2021; the Board of Directors will vote to approve a MOU and compensation in 2021. Compensation will be reviewed by the Executive Committee in 2021 before the Annual Meeting.

Form 990, Part VI, Section C, Line 19

Governing documents, conflict of interest policy, and financial statements were available for inspection at the office. Copies (print and/or digital) were made available upon request. All yearly financials statements and Form 990s are posted on the organization's website.
