Governance Explanations

Form 990, Part VI, Line 11B: Form 990 Review Process

Draft of form 990 provided to board members for review and approval in advance of extended due date of tax return. All board questions are answered and addressed by staff and/or requisite consultants as appropriate. Recommended changes are then incorporated into the final tax return, which is then reviewed and approved by the full board in a regularly scheduled meeting of the board of directors. The tax return is then filed by the extended due date.

Form 990, Part VI, Line 12C: Explanation of Monitoring and Enforcement of Conflicts

Each fiscal year, each director will make a full, written disclosure of interests, relationships, and holdings that could potentially result in a conflict of interest. In the course of meetings of the board, each director is required to disclose any interest in a transaction where there could be a conflict of interest. The director will not be permitted to vote on the question and the director will be asked to leave the room for the final discussion. All names, disclosures and discussion points and decisions are recorded in the meeting minutes.

Form 990, Part VI, Line 15B: Compensation Review and Approval Process for Officers and Key Employees

The board of directors is required to adhere to the following process when reviewing and approving the compensation package of the executive director and any other highly compensated employee: all decision makers of the board must be impartial and must not have a conflict of interest with the employee; the board must rely on comparability data that demonstrates the fair market value of the compensation of similarly qualified individuals in like positions at like organizations; the board must document how it reached its decisions, the terms of the compensation package, the date approved and the members of the board who participated in the discussion and final decision. Minutes must include the data on which the board relied.

The jackson hole community housing trust is dedicated to the provision, management and administration of affordable rental and ownership housing in teton county, wyoming and lessening the burden of government for any governmental entity that determines assisting its employees and related supportive personnel to obtain ownership and rental housing opportunities is a growing burden of such governmental entity and part of its governmental function, and that there is a strong need for the assistance of the housing trust in meeting such need.

IRS990/Desc0In 2016, the Housing Trust purchased a parcel of land adjacent to 6 lots previously acquired for the development of affordable rental housing. This strategic acquisition allowed the Housing Trust to increase the impact of the project from an 18 unit project to a 28 unit project. In June, the Trust completed the project design and secured the requisite entitlements to develop 26 new affordanble rental units on Redmond Street. With complete construction documents in hand, the Housing Trust worked to raise essential project equity and explore financing options that would support construction of the project and the long-term hold of the rental units.
