Procedures for addressing the conflict of interest A. An interested person may make a presentation at the governing board or committee meeting, but after the presentation, he/she shall leave the meeting during the discussion of, and the vote on, the transaction or arrangement involving the potential conflict of interest. B. The chairperson of the governing board or committee shall, if appropriate, appoint a disinterested person or committee to investigate alternatives to the proposed transaction or arrangement. C. After exercising due diligence, the governing board or committee shall determine whether the corporation can obtain with reasonable efforts a more advantageous transaction of arrangement from a person or entity that would not give rise to a conflict of interest. D. If a more advantageous transaction or arrangement is not reasonably possible under circumstances not producing a conflict of interest, the governing board or committee shall determine by a majority vote of the disinterested directors whether the transaction or arrangement is in the corporation's best interest, for its own benefit, and whether it is fair and reasonable. In conformity with the above determination, it shall make its decision as to whether to enter into the transaction or arrangement.”

“THE FOUNDATION DISBURSED THE BELOW GRANTS DURING THE TAX YEAR THAT ARE REPORTED ON SCHEDULE F, PART II, LINE 1. PART II, GRANT 1 Unite BVI is a local volunteer organization, comprised of skilled professionals, whose mission is bringing people, great ideas and resources together for sustainable positive impact and to inspire BVI's next generation of change-makers. Through this grant, the organization - through the Youth Empowerment Project (YEP) - seeks to support YEP's digital programming and skill building for approximately 150 young BV Islanders. The grant provided computers and related accessories valued at $30,000.00. PART II, GRANT 2 Jamaica is one of the islands that was impacted by Hurricane Beryl which left wide-spread damage across its Southern coastal parishes. An additional grant of $20,000 was approved to assist with additional relief in that area. Through the grant, direct aid will be provided to re-establish computer lab at Bustamante High School impacting approximately 770 students. Other institutions may also benefit. PART II, GRANT 3 St. Vincent and the Grenadines: Hurricane Beryl devasted St Vincent & The Grenadines leaving significant damages across the islands. Through the grant, direct aid will be provided to re-establish computer labs in primary and secondary schools on Union Island, Canoaun Island and Mayreau Island impacting approximately 270 students across all 3 islands through the procurement of computers and related accessories valued at $50,000. PART II, GRANT 4 World Central Kitchen: World Central Kitchen (WCK) is a not-for-profit, non-governmental organization that provides food relief during major disasters. Through this grant of $75,000, the organization seeks to support families impacted by Hurricane Beryl in 2024 through the provision of food and hot meals in the aftermath of the hurricane in Grenada, Jamaica and St Vincent & The Grenadines. PART II, GRANT 5 Bahamas: Jump - LCF funded digital literacy and upskilling for eligible families in CWC's low-income broadband program - was expanded to include the Bahamas. The programme provides participants with connectivity, training and devices. The programme received a donation from Westco of US$12,500 for the procurement of devices. To date, $9,600 was used to procure devices for participants in that island. PART II, GRANT 6 Trinidad: Flow Trinidad hosted a Career Day at a Primary School which serves 450 students. LCF contributed to the reactivation of the school's computer lab to support ICT learning via pennacool.com. LCF provided laptops valuing USD $10,000.”
