“Each director, principal officer and member of a committee with governing board delegated powers must annually sign a statement affirming such person: (a) has received a copy of the conflicts of interest policy, (b) has read and understands the policy, (c) has agreed to comply with the policy, and (d) understands that the corporation is a charitable organization, and in order to maintain its federal tax exemption it must be operated exclusively for a charitable purpose. In connection with any actual or potential conflict of interest, an interested person must disclose the existence of the financial interest and be given the opportunity to disclose all material facts to the directors and members of committees with governing board delegated powers considering the proposed transaction or arrangement. Procedures for addressing the conflict of interest (a) an interested person may make a presentation at the governing board or committee meeting, but after the presentation, he/she shall leave the meeting during the discussion of, and the vote on, the transaction or arrangement involving the potential conflict of interest. (b) the chairperson of the governing board or committee shall, if appropriate, appoint a disinterested person or committee to investigate alternatives to the proposed transaction or arrangement. (c) after exercising due diligence, the governing board or committee shall determine whether the corporation can obtain with reasonable efforts a more advantageous transaction or arrangement from a person or entity that would not give rise to a conflict of interest. (d) if a more advantageous transaction or arrangement is not reasonably possible under circumstances not producing a conflict of interest, the governing board or committee shall determine by a majority vote of the disinterested directors whether the transaction or arrangement is in the corporation's best interest, for its own benefit, and whether it is fair and reasonable. In conformity with the above determination it shall make its decision as to whether to enter into the transaction or arrangement.”

“THE FOUNDATION MAKES ITS GOVERNING DOCUMENTS, CONFLICT OF INTEREST POLICY, AND FINANCIAL STATEMENTS AVAILABLE TO THE PUBLIC UPON REQUEST. FORM 990, PART XI, LINE 9 OTHER ADJUSTMENT ($97,718) The ($97,718) variance is related to the Employee Assistance Program. Grants paid to employees based on the value of stock donations when program was implemented. Contribution to the Foundation to cover these grants was based on the appreciated value of stock when sold. LILAC (related company) made cash contribution to Foundation.”

“During the prior year, the Foundation focused primarily on relief and rebuilding efforts, due to the impact of hurricane Dorian. The purpose was expanded to: enabling progress and building more resilient communities. In the current year the Foundation has provided relief aid related to Hurricanes Eta and Iota and supported education and digital literacy programs. FORM 990, PART V, LINE 2A All employees of the Foundation are compensated by a related corporation, Cable & Wireless Communications, Inc. and are included on Form W-3 by Cable & Wireless Communications, Inc. Compensation was reported under the Foundation as paid by Cable & Wireless Communications, Inc. The Foundation fully reimburses Cable & Wireless Communications, Inc. for the organization's share of employment related costs of employees in question.”
