Form 990, Part VI, Line 12C Conflict of interest policy

Each director, principal officer and member of a committee with governing board delegated powers must annually sign a statement affirming such person: (a) has received a copy of the conflicts of interest policy, (b) has read and understands the policy, (c) has agreed to comply with the policy, and (d) understands that the corporation is a charitable organization, and in order to maintain its federal tax exemption it must be operated exclusively for a charitable purpose. In connection with any actual or potential conflict of interest, an interested person must disclose the existence of the financial interest and be given the opportunity to disclose all material facts to the directors and members of committees with governing board delegated powers considering the proposed transaction or arrangement. Procedures for addressing the conflict of interest A. An interested person may make a presentation at the governing board or committee meeting, but after the presentation, he/she shall leave the meeting during the discussion of, and the vote on, the transaction or arrangement involving the potential conflict of interest. B. The chairperson of the governing board or committee shall, if appropriate, appoint a disinterested person or committee to investigate alternatives to the proposed transaction or arrangement. C. After exercising due diligence, the governing board or committee shall determine whether the corporation can obtain with reasonable efforts a more advantageous transaction of arrangement from a person or entity that would not give rise to a conflict of interest. D. If a more advantageous transaction or arrangement is not reasonably possible under circumstances not producing a conflict of interest, the governing board or committee shall determine by a majority vote of the disinterested directors whether the transaction or arrangement is in the corporation's best interest, for its own benefit, and whether it is fair and reasonable. In conformity with the above determination it shall make its decision as to whether to enter into the transaction or arrangement.

THE FOUNDATION DISBURSED THE BELOW GRANTS DURING THE TAX YEAR THAT ARE REPORTED ON SCHEDULE F, PART II, LINE 1. PART II, GRANT 1 In November 2022, the Trinidad Islands were also impacted by severe flooding. ITNAC is a local volunteer organization supporting relief efforts. CWCF's grant supported 50 families through the provision of furniture, appliances, and critical items. CWCF paid funds directly to the local charity organization (ITNAC). PART II, GRANT 2 CWCF approved $460,000 and expended $404,850 in grants. The balance has been earmarked to support the digital literacy pillar of this program. Jump is a CWC initiative aimed at bridging the digital divide by providing broadband service, laptops and digital literacy training to qualifying low-income households in the Caribbean. In 2022, CWCF purchased 2,500 laptops which were shipped to Jamaica, Barbados, Grenada and St. Lucia to support the program. Distribution of the devices began in 2023. CWCF purchased the devices directly from a manufacturer (Magneat) and also covered shipping and logistics costs. The funds were paid directly to the external vendors. The devices are shipped to the market and distributed directly to qualifying families by volunteers. PART II, GRANT 3 In November 2022, the Dame Pearlette Louisy Primary School was severely impacted by flooding across the island. The total cost to repair damage and replace books, furniture and equipment was USD $30,000. CWCF provided the following items: 3 tablets, 5 printers and ink, 6 computers & AV equipment. CWCF sourced these items from a vendor (Magneat), purchased devices directly and coordinated shipping and delivery to the school. All funds exchanged between CWCF and the vendor. PART II, GRANT 4 CWCF provided equipment (LTE routers) and internet services to support families enrolled in their Single Mothers Program to support both parents and students through virtual classes, homework, and other learning and advancement opportunities. Flow BVI purchased and managed distribution of the equipment. CWCF to reimburse Flow BVI. This transaction has not been completed. PART II, GRANT 5 In 2022, the Turks and Caicos Islands were impacted by Hurricane Fiona. Prior to the storm, students at this school were assigned to other locations to complete exams because the onsite computer lab did not have internet access. The storm put these students at a greater disadvantage. Not only were they without connectivity at home and at school, but the locations where they would have been relocated also experienced infrastructural damage and disruption to internet service during the storm. CWCF engaged an external contractor (TCI Solutions) to provide the infrastructure and equipment needed for the upgrade. Funds were paid from CWCF to the contractor. No funds were exchanged between CWCF and the beneficiary school.

IRS990ScheduleF/SupplementalInformationDetail/ExplanationTxt0The Foundation adopts a systematic approach to grant selection and direct relief funding. 1. Once an opportunity for support has been identified, the Foundation works with local and regional stakeholders to select qualifying projects. 2. Once a project has been identified, the president of the Foundation works with the proposed awardee to: a. Complete an assessment that demonstrates the organization is qualified to carry out the project. Where possible, the president interviews the proposed grantee in person to complete the assessment. The assessment: i. Provides a brief description of the situation, the expected activities to address to the situation and estimated cost to carry out the identified activities. The assessment also provides a description of the excepted impact of the activities. ii. Contains information to help determine if the grantee is a registered charity, NGO, or qualifying implementing organization. The Foundation also works with local foundations to execute projects, in keeping with its mission. iii. Is also reviewed by the compliance officer at Cable & Wireless Communications LLC. iv. If the grantee is a local government organization, the assessment provides a clear scope for the use of fund, including how the government entity will support activities that will benefit a board range of recipients regardless of political persuasion. b. All grant assessments are then submitted to the board of directors of the Foundation for approval. c. Once a grant has been approved, a grant letter is sent to the implementing agency outlining the terms of the grant. Under the terms of the grant, the implementing agency agrees to: i. Provide receipt of the grant ii. Provide all financial information related to the project, including information related to how the grant was used. iii. Provide updates/reports on the project. iv. Participate in communications and public relations activities related to the project. v. Any relevant signage and branding related to the project. d. In cases of direct relief, the president of the Foundation makes a formal proposal to the board of directors for approval. The proposal request: i. Outlines the reason for the requested support and expected impact. ii. Identifies the vendor/contractor who will carry out the relief activities. iii. Includes all the necessary financial data associated with direct relief costs. Once the funds are disbursed, the president of the Foundation works with the contractors to submit a report to the board on the use of funds, impact, and final status of the activity.
