“The purpose of legado's conflict of interest policy is to protect the interest of legado when it is contemplating entering into a transaction or arrangement that might benefit the private interest of an officer or member of the board of directors of the corporation or might result in a possible excess benefit transaction, and to ensure that the corporation operates in a manner consistant with its charitable purpose. The conflict of interest policy is provided to and applies to all directors, officers and employees. The conflict of interst policy is reviewed with the board, and each member of the board affirms compliance therewith, on an annual basis.”
