“The corporation has two classes of membership: leadership members and members.”
“Leadership members have the right to vote on any type of fundamental transaction of the corporation, including an amendment of the articles of incorporation or these bylaws, a merger, a membership exchange, a sale of all or substantially all of the organization's assets, domestication, conversion, or dissolution of the corporation.”
“Leadership now does not have any committees with authority to act on behalf of the governing body.”
“The form 990 was prepared by outside accountants and reviewed by the ceo. A copy of the 990 was shared with the board prior to filing with the irs.”
“Each director, principal officer and member of a committee with governing board delegated powers annually signs a statement which affirms such person has received a copy of the policy, has read and understood the policy, and agrees to comply with the policy. In connection with any actual or possible conflict of interest, an interested person discloses the existence of the financial interest and is given the opportunity to disclose all material facts to the directors and members of committees with governing board delegated powers considering the proposed transaction or arrangement. After disclosure of any conflict of interest and any discussion with the interest person, he/she leaves the governing board or committee meeting while the remaining board or committee members decide if a conflict of interest exists. The chairperson of the governing board or committee may appoint a disinterested person or committee to investigate alternatives to the proposed transaction or arrangement. After exercising due diligence, the governing board or committee determines whether the corporation can obtain with reasonable efforts a more advantageous transaction or arrangement that would not give rise to a conflict of interest. If a more advantageous transaction or arrangement is not reasonably possible, the governing board or committee determines by majority vote of the disinterested directors whether the transaction or arrangement is in the corporation's best interest, for its own benefit, and whether it is fair and reasonable. If the governing board or committee has reasonable cause to believe a director, principal officer or member has failed to disclose actual or possible conflicts of interest, it informs such person of the basis for such belief and afford the person an opportunity to explain the alleged failure to disclose. If, after hearing the response and further investigation, the governing board or committee determines such person has failed to disclose a conflict of interest, it takes appropriate disciplinary and corrective action.”
“The process for determining compensation for the organization's ceo includes a review and approval by the board and advisory board. Benchmarking information and compensation from similar organizations are used in the review. The last compensation review took place in summer 2021.”
“The organizations's governing documents, conflict of interest policy, and financial statements are available to the public upon request.”
“Expertise, networks, and resources to advance the cause. Leadership now project transcends party lines with four universal principles: (1) we must protect our democracy while renewing it. (2) facts and science matter. (3) our economy must work for all. (4) diversity is an asset. In 2019-2020 leadership now experienced rapid growth in membership (50% from 2019-2020), member democracy investments ($40m, 6x growth since 2016), member engagement beyond dollars (e.g. Public statements, supporting democracy through company platforms, companies pulling back from candidates post-insurrection), and visibility (coverage in nytimes, ft, hbr, etc). Despite covid, leadership now's membership of business and thought leaders deepened their engagement in 2020 with robust virtual programming, timely investment recommendations and public action in response to democracy threats.”
“Subcontractors: program service expenses 301,149. Management and general expenses 13,514. Fundraising expenses 218. Total expenses 314,881. Consultants: program service expenses 31,180. Management and general expenses 1,001. Fundraising expenses 0. Total expenses 32,181.”

| IRS990/Desc | 0 | BUILDING SUPPORT FOR DEMOCRACY-STRENGTHENING PRINCIPLES AMONG THE BUSINESS COMMUNITY:WE USED OUR PLATFORM TO BOLSTER POSITIVE MESSAGING AND SUPPORT FOR LARGELY POPULAR AND BIPARTISAN DEMOCRACY STRENGTHENING ISSUES (E.G., VOTING RIGHTS, CAMPAIGN FINANCE REFORM, AND OBJECTIVE REDISTRICTING). WE ENCOURAGED BUSINESS LEADERS TO SUPPORT (OR, AT MINIMUM, NOT OPPOSE) THESE POLICIES, AND MOBILIZE KEY DONORS AND ALUMNI NETWORKS TO ADVOCATE FOR PRO-DEMOCRACY REFORM. WE USED LEADERSHIP NOW MEMBER AND ALUMNI NETWORKS, LINKEDIN TARGETING, EARNED MEDIA AND OTHER SOCIAL MEDIA PRESENTS TO MAKE BUSINESS LEADERS ENGAGE WITH THE IMPORTANCE OF DEMOCRACY IN A FUNCTIONING FREE MARKET. EFFORTS TO DISCREDIT ELECTION RESULTS WERE MET BY AN UNPRECEDENTED AND COORDINATED RESPONSE ACROSS SECTORS, INCLUDING VISIBLE MOBILIZATION BY BUSINESS. LEADERSHIP NOW EARNED SIGNIFICANT CREDIBILITY AS ONE OF THE EARLIEST VOICES IN THE BUSINESS COMMUNITY TO SPEAK OUT AGAINST MISINFORMATION. LEADERSHIP NOW'S RAPID RECOMMENDATIONS WERE ADOPTED BY MEMBERS, OTHER EXECUTIVES, AND WERE VISIBLE IN THE PRESS. ADDITIONALLY, AS A CORE TENET OF DEMOCRACY, IN 2020 LEADERSHIP NOW EXPANDED ITS WORK ON RACIAL EQUITY. THE OUTPOURING OF BUSINESS SUPPORT IN RESPONSE TO GEORGE FLOYD'S DEATH COULD HAVE BEEN EPHEMERAL. OVER 1,200 EXECUTIVES SIGNED LEADERSHIP NOW'S RACIAL EQUITY PLEDGE COMMITTING TO CONCRETE ACTIONS, INCLUDING SUPPORT FOR VOTING RIGHTS. LEADERSHIP NOW ALSO WORKED ON PRO-DEMOCRACY INITIATIVES LIKE RANK-CHOICE VOTING. IN NEW YORK CITY, LEADERSHIP NOW ENDORSED THE INITIATIVE AND NY MEMBERS PROVIDED BRIDGE FUNDING TO THE CAMPAIGN TO FILL A LATE-STAGE GAP (ALONGSIDE UNITEAMERICA). |

IF, AFTER HEARING THE RESPONSE AND FURTHER INVESTIGATION, THE GOVERNING BOARD OR COMMITTEE DETERMINES SUCH PERSON HAS FAILED TO DISCLOSE A CONFLICT OF INTEREST, IT TAKES APPROPRIATE DISCIPLINARY AND CORRECTIVE ACTION. |
