Governance Explanations

Form 990, Part VI, Section A, line 8B

There are no committees with broad authority to act on behalf of the governing body

Form 990, Part VI, Section B, line 11B

All members of the Board of Directors receive an emailed copy of our Form 990 for review two weeks, or ten business days, before it is filed. Board members then confirm receipt of the Form 990 via email, review the document, and approve the filing by email vote before the filing date.

Form 990, Part VI, Section B, line 12C

All board members and employees are covered by our Conflict of Interest Policy. The reviews and determinations of whether a conflict exists are made at the Board of Directors level. If a conflict of interest arises, the Board of Directors will determine the corrective course of action that can include actions such as removal from the board, finding an alternate service provider (if the conflict is from a vendor or service provider), etc.

Form 990, Part VI, Section B, line 15A

Proposals to determine the CEO's compensation are introduced by the fundraising and finance committee to the Board of Directors in a closed Executive Session that does not include the CEO. In this Executive Session, the board reviews the budget, the proposed salary, comparable salaries in the local region, and the organization's financial resources before voting to approve the CEO's salary. This process was last completed in 2023.

Form 990, Part VI, Section C, line 19

We make our financial statements available upon request. We also report our finances in our Annual Review which is on our website.

IRS990/Desc0Girls' Education: We provided full education sponsorships to 2,000 girls in 22 rural villages in Togo, Africa. Every girl in our program receives a new school uniform that grows, full-tuition scholarships, reusable menstrual health kits, school materials, and year-round support from our local team of tutors and program directors. Since our founding, we've provided over 8,095 education sponsorships for girls in rural Togo, Africa. In addition, we piloted 2 new educational programs. The first was our Lunch and Learn program focused on teaching literacy to 6th grade students while providing a nutritious meal. (Continued on Schedule O)After 8 weeks of the pilot program, we measured a 61.75% increase in literacy rates among our pilot program participants. The second program was our Pathways Program aimed at serving rising Junior and Senior High School students. We hosted two 4-week sessions with 27 students who received in-depth lessons on critical thinking, financial literacy, confidence building, and career exploration. In addition, we hosted several community education workshops in our partner villages to teach subjects like menstrual health, the benefits of educating girls, equity in household duties, financial management, sexual health, and family planning.

IRS990/ProgSrvcAccomActy2Grp/Desc0Women's Employment: We create jobs for seamstresses from low-income and low-education backgrounds in our sustainable apparel factories located in the rural villages of Notse and Kpove. Our first sustainable factory opened in 2019 in Togo, Africa, and we've grown to employ 40 seamstresses full-time. Our paid-to-learn employment model ensures women receive tailored benefits that help them thrive in the workplace. These benefits include 10% of paid time devoted to adult education each week, unlimited sick leave, free childcare, 3-month paid maternity leave for all full-time employees, financial management training, full social security and retirement benefits, and salaries well above local living wages.

IRS990/ProgSrvcAccomActy3Grp/Desc0Sustainability: We design products that are better for girls, women, and the environment. One of our signature products is our school uniform that expands with girls as they grow. This dress is designed to grow six sizes and up to 12" in length, and it's designed to help girls stay in school confidently without fear of outgrowing their required school uniforms. It also replaces the need for 5 additional school uniforms, greatly reducing the environmental footprint of our dresses. In addition, we also recycle 100% of fabric scraps from apparel production into reusable products for girls and women. We not only recycle 100% of fabric from our own factories, but we also accept fabric from surrounding factories in West Africa and recycle it into reusable menstrual pads for girls. (Continued on Schedule O)Our recycling program has resulted in 10,000 reusable menstrual pads made from recycled fabric, 7,000 pounds of fabric diverted from the waste stream, and 40,475 school uniforms replaced by our uniforms that grow. In 2022, we introduced a new signature product made from 100% recycled single-use plastic bags. Our student backpacks are now made from recycled plastic bags that we remove from our local communities. In 2024, we recycled more than 250 pounds of single-use plastic into reusable product.

IRS990ScheduleF/SupplementalInformationDetail/ExplanationTxt0The organization's procedures for monitoring the use of funds include utilizing third-party accounting and auditing of receipts and bookkeeping practices as well as requiring monthly expenditure reports and financial statements.
IRS990ScheduleF/SupplementalInformationDetail/ExplanationTxt1Expenditures are reported on Accrual Basis. Part I, Line 3, Column (e): 1. Girls' education program: we provide education sponsorships to 1,500 girls in Togo, Africa that include: new school uniforms, school fee payment, reusable menstrual supplies, school supplies, and tutoring services. Our services are conducted in 21 remote villages in the maritime region, Haho prefecture of Togo. We employ Program Directors, Coordinators, and tutors to carry out our services year-round. 2. Women's Employment Program: We employ seamstresses from low-income and low-education backgrounds in our sustainable textile goods factories in Kpove, Togo and Notse, Togo. We employ 16 women full-time in Togo, and as part of our paid-to-learn employment model, we provide adult education services as part of the paid working day of our seamstresses. We also provide additional services that include free childcare, 3-month paid maternity leave, retirement benefits payment, and assistance opening and managing bank accounts for our seamstresses. 3. Sustainability: We design and manufacture zero-waste products that are better for girls, women, and the planet. We also recycle fabric waste from our own factory and from surrounding factories into reusable menstrual pads for girls.

IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt0There are no committees with broad authority to act on behalf of the governing body
IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt1All members of the Board of Directors receive an emailed copy of our Form 990 for review two weeks, or ten business days, before it is filed. Board members then confirm receipt of the Form 990 via email, review the document, and approve the filing by email vote before the filing date.
IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt2All board members and employees are covered by our Conflict of Interest Policy. The reviews and determinations of whether a conflict exists are made at the Board of Directors level. If a conflict of interest arises, the Board of Directors will determine the corrective course of action that can include actions such as removal from the board, finding an alternate service provider (if the conflict is from a vendor or service provider), etc.
IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt3Proposals to determine the CEO's compensation are introduced by the fundraising and finance committee to the Board of Directors in a closed Executive Session that does not include the CEO. In this Executive Session, the board reviews the budget, the proposed salary, comparable salaries in the local region, and the organization's financial resources before voting to approve the CEO's salary. This process was last completed in 2023.
IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt4We make our financial statements available upon request. We also report our finances in our Annual Review which is on our website.
