“Monitoring and enforcement of conflict policy - the network's conflict of interest policy is mailed annually to trustees and distributed at board meetings. When a conflict arises, the individual is not permitted to vote or participate in the discussion of the transaction. Persons that are independent of the individual with the conflict make the decision about the transaction. The deliberations and decision are documented in the minutes of the board.”
“Compensation review and approval- the process for determining compensation for the ceo includes a review by an hr attorney,market research, and a review of performance. Mutually agreed upon goals are established with the executive committee, quarterly documentation and conversations about progress to goals take place. An annual conversation with the chair and vice-chair about performance takes place. The entire board does a complete survey/review and then compensation is discussed. The board uses business volunteers unlimited, a section 501(c)(3) organization, to compare data against our budget. The ceo has a 3 year contract. Negotiations for the contract take place every 3 years but annually the performance of the ceo is reviewed and incremental increases in pay are implemented as indicated by performance. The director of advancement and cfo positions were reviewed in 2018 to determine market pay rates for these positions. Guidestar was also used to determine wages for these two key positions.”
