Governance Explanations

Form 990, Part VI, Section A, line 2

Sandra Gerry, Director, has a business relationship with Keith Suehnholz and Ronald Greenberg, Directors of the Board.

Form 990, Part VI, Section B, line 11B

A copy of the Form 990 is provided to management and each director of the board for review and comment prior to its filing with the Internal Revenue Service.

Form 990, Part VI, Section B, line 12C

The Organization has adopted a formal conflict of interest policy and requires all directors, officers, and key employees to annually comply with the terms of the policy. Periodic reviews are conducted to ensure compliance with the conflict of interest policy. Annually, officers and directors are required to review the conflict of interest policy and submit a signed document indicating they have done so and that they are in compliance with the policy. To the extent that any conflicts exist, they will be immediately investigated and resolved.

Form 990, Part VI, Section B, line 15

The Organization undertakes a thorough process to determine the compensation of top management official, Amanda Langseder, Executive Director, as well as other compensated officers and key employees. Independent directors (who are not compensated) determine executive compensation. They utilize various factors to set compensation including market data, geographical comparisons, like-sized organizations, and cost of living adjustments.

Form 990, Part VI, Section C, line 18

The Organization makes its annual Form 990 available to the public at its main place of business. It is also available on the internet at www.guidestar.org.

Form 990, Part VI, Section C, line 19

The Organization's governing documents, conflict of interest policy and financial statements are available upon request and at management's discretion.

Form 990, Part XI, line 9:

The Organization has determined its IRC Sec 481(a) adjustment to ensure that the change in accounting method does not result in the omission or duplication of revenue or expenses in the year of change. The following revenue and expenses were earned or consumed in 2021, but not received or paid until 2022. As a result, they were not reported on the tax return under cash basis in 2021 (prior to the year of change), and also not reported on the 2022 tax return under accrual basis. Grant Receivable 716. Accrued Expenses -54,488. Conversely, the following expense was fully deducted on the tax return under the cash method in 2021 when it was paid, but was consumed and deducted in 2022 under the accrual method. Prepaid Expenses 7,740.

Form 990, Part XII, Line 1:

The Organization changed its accounting method from cash to accrual method, as allowed under IRC Sec 446, so that its tax return and reviewed financial statements are prepared using the same accounting method.
