“Venice Pride has a single primary class of members with voting rights including the Initial Incorporator and others admitted by majority vote. The Board may also designate additional honorary or contributing members without voting rights. Regular annual and special meetings are held with specific quorum and voting procedures and members can be expelled under certain conditions.”

“The members have significant governance roles as they elect the Board of Directors at the annual meeting. Members exercise their voting rights in person by ballot by mail or by proxy. In addition to electing the Board members participate in regular annual and special meetings. There may also be non-voting honorary or contributing members as determined by the Board but these individuals do not have decision-making power.”

“In Venice Pride key governance decisions are shared between the members and the Board of Directors. Members are responsible for electing the Board and determining its size. They also participate in decision-making through their voting rights in various meetings. This setup gives members a significant role in guiding the organizations governance.”

“Venice Prides committees must receive board approval on all financial matters and when acting on behalf of the organization. Minutes are only taken for the board meetings not for the committee meetings.”

“The Board of Directors delegates responsibility for the Form 990 to the President. A Form 990 draft is prepared and the finalized Form 990 is distributed to the Board of Directors prior to filing.”

“The Board of Directors has adopted a Conflict of Interest policy and requires all Directors and Officers to disclose any conflicts or potential conflicts as they arise.”

“Venice Pride is amending its 2023 Form 990 to correct two clerical errors identified on Schedule A Part III: On line 18 the Investment income percentage was incorrectly reported as 40.0000%. The correct value per the 2022 Schedule A Part III line 17 is 0%. On line 19b the checkbox indicating Venice Pride qualifies as a publicly supported organization was inadvertently left unchecked. These amendments are being made to ensure the accuracy and completeness of our filed return.”
