Each trustee present at a meeting shall be entitled to one (1) vote on each matter submitted to a vote of the member. Once a quorum is attained, all business and affairs of the member shall be transacted by majority vote of those present.”

Potential conflicts are discussed at the appropriate audit committee meeting and a decision on how to handle is voted on in the absence of the individual who has a conflict.”
