Mission

To establish, oversee and promote programs and services in furtherance of the tradition, spirituality and charism of the congregation of the sisters of st. Joseph of peace (csjp). The primary activity promotes the establishment of facilities related to healthcare and the coordination of activities of the public charitable ministries of csjp, including homes and protective services for the elderly, ill or aged. The organization is a healthcare holding company with oversight of two nursing homes: st. Ann's home for the aged corp. (dba peace care st. Ann's) and margaret anna cusack care center, inc. (dba peace care st. Joseph's). The organization provides certain centralized administrative services for these public charitable ministries, including management, finance, human resources, marketing, public relations and development.

The following powers are reserved exclusively to the board of trustees of the member, peace ministries, inc.: 1) to determine or change the mission and philosophy; 2) to amend, alter, or repeal the articles of incorporation and the bylaws; 3) to purchase, sell, transfer, lease or encumber real property, or substantially all of the assets of the filing organization; 4) to add, terminate, merge, consolidate, affiliate, divide, or separate substantial programs from the filing organization and/or to merge, consolidate, or affiliate the filing organization with any other corporation or organization; 5) to dissolve and to determine the distribution of assets upon dissolution; 6) to enter into new borrowings and to renegotiate, modify or otherwise change existing debt obligations in excess of 15% of the net assets; 7) to form a subsidiary organization, joint venture, partnership, or any other affiliation arrangement; 8) to manage, acquire, or sponsor any institution, corporation, organization, facility or entity; 9) to appoint and remove, with or without cause, the chief executive officer of the organization. Each trustee present at a meeting shall be entitled to one (1) vote on each matter submitted to a vote of the member. Once a quorum is attained, all business and affairs of the member shall be transacted by majority vote of those present.

Drafts of the form 990 were reviewed by the audit and compliance committee and changes made as needed. A copy of the final 990 was then circulated to the full board of trustees for review and approval prior to filing.

The primary purpose of the policy is to ensure that the board and executive staff can make decisions in an objective manner without undue influence by interested persons and to ensure that the center fulfills its charitable purposes. Each board member and principal officer with board delegated power shall "annually" sign a statement which affirms that such persons have complied with the following: 1)received a copy of this policy,2)read and understand this policy,3)agreed to comply with this policy,4)understand that the center is a charitable organization and that in order to maintain its federal tax exemption it must engage primarily in activities which accomplish one or more of its tax-exempt purposes and, 5) disclosed activities and financials interest which may result in a conflict of interest. Potential conflicts are discussed at the appropriate audit committee meeting and a decision on how to handle is voted on in the absence of the individual who has a conflict.

The board of trustees relied upon industry consultants and comparable data in setting the compensation of the chief integration officer of the organization in 2016. Such individual's title was subsequently changed to chief executive officer. No change was made to compensation at the time of title change or in the subsequent reporting period of 2017.
