Governance Explanations

Form 990, Page 6, Part VI, Line 11B

Form 990 is completed by an independent preparer. Once completed, the form is presented to the board for review and comment from board members. Prior to filing, a final version is emailed to the board members.

Form 990, Page 6, Part VI, Line 12C

The agency's bylaws prohibit board members and officers from entering into any transaction or arrangement without full disclosure to, and authorization from the agency's governing body. The contract must be authorized by a majority of the board of directors at a meeting where the interested person may make a presentation. After the presentation, he/she shall leave the meeting while there is a discussion and vote on the transaction involving a possible conflict of interest. The agency reviews this policy with the board members and officers.

Form 990, Page 6, Part VI, Line 15A

Kgd begins the process of determining salary by drafting clear job descriptions that outline duties, responsibilities, and qualifications. Once determined, salary ranges are based on comparable wages in the detroit area for the non-profit sector. Comparables are gleaned from online sources including guidestar's compensation report, "good food jobs" job search engine, similar local postings, and conversations with other organizations. Once a candidate is identified, individual compensation packages are negotiated within the posted salary range based on experience and qualifications as well as other factors including benefit packages.

Form 990, Page 6, Part VI, Line 19

The agency's governing documents, conflict of interest policy, and financial statements are provided to grantmakers upon request.

IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt1THE FOURTH PROGRAM IS OPERATIONS AT PLUM STREET MARKET GARDEN, A 1.75 ACRE FARM IN DOWNTOWN DETROIT WHERE KEEP GROWING DETROIT GROWS PLANTS, HOSTS SERVICE PROJECTS AND EDUCATIONAL EVENTS, AND GROWER PRODUCE FOR MARKET AND DONATION TO LOCAL EMERGENCY FOOD PROVIDERS.
IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt2KGD UTILIZES A PROFESSIONAL EMPLOYMENT ORGANIZATION (PEO) FOR THEIR HUMAN RESOURCE NEEDS. ALTHOUGH THE PEO PROVIDES THE W-2'S, KGD IS RESPONSIBLE FOR REMITTING FUNDS TO THE PEO FOR PAYMENT OF THEIR PAYROLL AND PAYROLL TAXES.
IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt3FORM 990 IS COMPLETED BY AN INDEPENDENT PREPARER. ONCE COMPLETED, THE FORM IS PRESENTED TO THE BOARD FOR REVIEW AND COMMENT FROM BOARD MEMBERS. PRIOR TO FILING, A FINAL VERSION IS EMAILED TO THE BOARD MEMBERS.
IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt4THE AGENCY'S BYLAWS PROHIBIT BOARD MEMBERS AND OFFICERS FROM ENTERING INTO ANY TRANSACTION OR ARRANGEMENT WITHOUT FULL DISCLOSURE TO, AND AUTHORIZATION FROM THE AGENCY'S GOVERNING BODY.
IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt5KGD BEGINS THE PROCESS OF DETERMINING SALARY BY DRAFTING CLEAR JOB DESCRIPTIONS THAT OUTLINE DUTIES, RESPONSIBILITIES, AND QUALIFICATIONS.
IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt6THE AGENCY'S GOVERNING DOCUMENTS, CONFLICT OF INTEREST POLICY, AND FINANCIAL STATEMENTS ARE PROVIDED TO GRANTMAKERS UPON REQUEST.
