The executive director reviews the 990 with the board treasurer and chair. The board of directors is then sent a copy of the 990 via email to review and approve prior to filing with the internal revenue service.

Form 990, Part VI, Section B, Line 12C

The organization has a conflict of interest policy that is consistently monitored. The conflict of interest policy covers the board of directors and officers of the organization. When a conflict arises, it is to be fully disclosed to the full board. No interested officer or director may vote or lobby on the matter or be counted in determining the existence of a quorum at the meeting which such matter is voted upon. Any transaction in which a director or officer has a financial or personal interest shall be duly approved by members of the board of directors that are not interested. The minutes of the meeting shall reflect the disclosure of the conflict, abstention from voting, and the board's rationale for approving. The policy also contains a section specifically addressing conflict of interests in relation to litigation matters which is a critical part of the organization's program services.

The board of directors review and approve officer compensation. The compensation for the officers and key employees of the organization are determined through research involving several factors including comparability data based on similar sized organizations in their geographic region and similar missioned organizations in not-for-profit sectors. This process occurs annually.

PART IV, LINE 2B:

Gender justice has fiscal sponsorship agreements for projects that are in compliance with our tax-exempt 501(c)(3) status and support our organization's mission through policy research and development, community organizing, public education around issues and civic participation.

PART X, LINE 2:

Asc 740 from audited financial statements the organization is exempt from federal and state income taxes under section 501(c)(3) of the internal revenue code therefore, the statements do not include a provision for income taxes but is subject to income tax on net unrelated business income. The organization had no unrelated business income tax in either 2022 and 2021. The organization reviews income tax positions taken or expected to be taken in income tax returns to determine if there are any income tax uncertainties. This includes positions that the entity is exempt from income taxes or not subject to income taxes on unrelated business income. The organization recognizes tax benefits from uncertain tax positions only if it is more likely than not that the tax positions will be sustained on examination by taxing authorities, based on the technical merits of the positions. The organization has identified no significant income tax uncertainties. The organization files information returns as a tax-exempt organization. Should that status be challenged in the future, all years since inception could be subject to review by the irs.

OUR RECENT LEGAL WORK HAS INVOLVED ENSURING THE ACCESS OF PEOPLE TO EMERGENCY CONTRACEPTION AND ABORTION, COMBATING SEXUAL HARASSMENT, THE RIGHTS OF CHEST-FEEDING PEOPLE AT WORK, AND THE RIGHTS OF TRANSGENDER ATHLETES TO PARTICIPATE ON TEAMS THAT ALIGN WITH THEIR GENDER IDENTITY. RECENT VICTORIES INCLUDE PROTECTING THE RIGHT OF TRANSGENDER STUDENTS TO USE THE SCHOOL BATHROOMS AND LOCKER ROOMS THAT ALIGN WITH THEIR GENDER IDENTITY, AND AFFIRMING THE AFFORDABLE CARE ACT BANS DISCRIMINATION AGAINST TRANSGENDER PATIENTS. GENDER JUSTICE ALSO WORKS TO ADVOCATE FOR POLICIES THAT PROMOTE GENDER EQUITY AND ENGAGES IN PUBLIC EDUCATION TO HELP PEOPLE NOT ONLY KNOW THEIR RIGHTS, BUT ALSO FEEL EMPOWERED AND SUPPORTED BY CULTURAL SHIFTS TO REALIZE THOSE RIGHTS. OUR ORGANIZATION TAKES AN INTERSECTIONAL AND COALITION BUILDING APPROACH TO ACCOMPLISH THIS WORK.
