Governance Explanations

Form 990, Part VI, Section A, Line 4

The bylaws of the organization were restated and amended to 1 update the list of stakeholder industries and agencies represented on the board, and define the number of board director positions held by specific industries, and provide at a minimum, that the organizations directors include a representative of u.s. Homeland security, as well as representatives of educational, healthcare, and private sector businesses 2 grant voting privileges on the board of directors to a government agencys liaison or a liaison of another organization, 3 update the resignation procedure to be taken by a director choosing to resign, and expand the definition of resignation to include failure of a director to attend one meeting in a calendar year as deemed resignation by the director, 4 define a quorum as one-third 33 of the number of directors then in office and to specify, that if a quorum is present when the meeting is convened, the quorum is deemed to exist until adjourned, nothwithstanding the departure of one or more directors, 5 provide specifics for a directors dissent to be recorded, 6 authorize an electronic signature as a valid action of written consent, 7 provide for the use of a mediator and arbitrator, in the event of a deadlock of board votes, and 8 provide the board authority to remove a board member if the board member has not completed a conflict of interest disclosure, not signed a confidentiality agreement, reviewed or approved annual taxes or bylaws, and not participated in at least one body meeting during the year.

Coyote crisis collaboratives directors are comprised of organizations or agencies that are within industries the board of directors have identified as stakeholder industries, and these organizations or agencies are within the geographical areas of arizona. Each stakeholder industry has one vote on the board of directors, unless otherwise indicated. The stakeholder industries are 1 airport, 2 arizona ambulatory surgery center association, 3 arizona coalition for healthcare emergency response, 4 arizona health care association, 4 arizona school district consortium, 5 arizona statewide independent living council, 6 arizona hospice and home health associations, 7 businesses, which have 4 votes and include utilities, finance, legal and transportation airport, 8 county emergency management, which has 3 votes, 9 developmental disabiliites, 10 finance, 11 fire departments, which have 4 votes, 12 ems companies, which have 3 votes, 13 hospitals, which have 8 votes, 14 legal, 15 mental health, which have 2 votes, 16 universities, and 17 utilties. Additionally, the following agencies have one vote on the board of directors through their liaison representative arizona alliance for community health centers, arizona ambulance association, arizona association of police chiefs, arizona chamber of commerce, arizona fire chiefs association, arizona dept. Of economic security, arizona dept. Of emergency and military affairs, arizona dept. Of health services - bureau of public health emergency preparedness and bureau of ems and trauma system, arizona dept. Of homeland security, arizona health care containment system, arizona local public health emergency response association, arizona pharmacy association, arizona state hospital, arizona tourism and lodging association, arizona tribal executive committee, arizona volunteer organizations active in disasters, federal bureau of investigation, metropolitan medical response system, military, and western regional alliance for pediatric emergency management.

Each member organization or agency has a vote on the board of directors through the members representative, unless a conflict of interest exists based on the organizations conflict of interest policy, that precludes the member organization from voting. The members elect the officers of the organization.

At this time, the organization has no paid employee or officer meeting the irs definition of a key employee.

At the beginning of the fiscal year, the organization maintained custodial accounts for disaster, emergency, and preparedness projects that had been awarded by the arizona department of health human services adhs to five health care coalitions in arizona. The organization is, and has been, responsible to adhs for the fiscal stewardship of the project funds and can only dispurse the funds accordingly to adhs direction. All funding has been dispursed or returned to adhs during the fiscal year, and the balance of custodial funds was -0-, as of june 30, 2021.
