Governance Explanations

Form 990, Part VI, Section B, Line 11

Senior management of the organization is responsible for the timely preparation of the form 990. 1 the completed form 990 will be provided to the committee responsible for finances sufficiently in advance of the filing deadline to enable a detailed and conscientious review by all members of the committee. All questions, concerns, etc. Of the board members will be addressed by the treasurer or cpa and incorporated into the form 990 as appropriate. 2 after all members of the board and the relevant committees have been appropriately addressed, senior management of the organization will file the final form 990 as required.

Form 990, Part VI, Section B, Line 12 C

At each board and committee meeting, if there is a discussion of selecting or engaging a vendor or service provider, all in attendance are asked to recuse themselves from this discussion if there could be a perceived conflict. Annually in october, the organization reviews and discusses the conflict of interest policy and requests that each board member list and acknowledge any known conflicts.

The executive committee and board of directors review the compensation for all executives and staff by 1 evaluating their compensation based on the executives and staffs performance, skills, development and growth, and effective visible commitment to the organization 2 the compensation system will include performance reviews and adjustments to salary and benefits based on changes in the marketplace subject to the organizations financial constraints, adjustments to an individuals salary will be based on job performance including growth in mastering job competencies and all adjustments will be consistent with practice in the non-profit marketplace 3 structured reviews with identifiable growth and development will be incorporated for benchmarking and measuring success, and 4 the organization will evalulate compensation in relation to external marketplace competitiveness and may periodically retain the services of a professional compensation consultant to assess the reasonability of the organizations compensation of executives and staff. At this time, the organization has no paid employee or officer meeting the irs definition of a key employee.
