A copy of the Form 990 is provided to the Audit Committee for review prior to its filing.

Form 990, Part VI, Line 12C: Explanation of Monitoring and Enforcement of Conflicts

When each easement project is presented to the board of directors, each director is required to state whether or not they have a conflict of interest with the project. If there is no conflict, a certificate of no conflict is completed and signed by the president of the board of directors. If there is a conflict, the board members(s) with the conflict must recuse themselves from all conversation and voting on said project.

A performance evaluation is completed on each employee every year by the executive director. The executive director provides the board with comparable industry salary information as requested. The president performs a performance evaluation on the executive director. The executive committee and board reviews the executive director performance evaluation in closed session. The industry salary information, CFT's relative financial condition and employee performance determines any adjustments to salary/benefits of staff.

Financial Statement Notes

Part II, Line 5: Summarized Policy

CFT is required to monitor all CE's on an annual basis. This is accomplished with trained volunteers and in accordance with certain written protocol. All monitoring visits are documented in writing and copies are provided to the funders and property owners.

Part II, Line 9: Organization Reporting of conservation easements.

CE's are not revenue generators and are not recorded as assets on CFT's balance sheet.

Part X : FIN48 Footnote

California Farmland Trust is exempt from federal and state income taxes under Section 501(c)(3) of the Internal Revenue Code and Section 23701d(c)(1) under California Revenue and Taxation Code. Accordingly, no provision for income taxes is included in these statements.Generally accepted accounting principles provide accounting and disclosure guidance about positions taken by an entity in its tax returns that might be uncertain. Management has considered its tax positions and believes that all of the positions taken in its federal and state exempt organization tax returns are more likely than not to be sustained upon examination. The Trusts returns are subject to examination by federal and state taxing authorities, generally for three years and four years, respectively, after they are filed.
