Any director who misses 50% or more of the board meetings in a fiscal year may be removed from the board. - provision adding the ceo and president as having authority to enter into contracts and execute instruments as well as sign checks, drafts, promissory notes, orders for the payment of money and other indebtedness of the corporation absent any action by the board to the contrary. - provision added to require an affirmative vote of at least three-fourths of the directors then in office to remove the ceo as an officer of the corporation.”
