Governance Explanations

Form 990, Part VI, Section A, Line 1A

The Management Committee, consisting of all officers of the Conservancy and other Governors who may be appointed by the Board Chair, as provided In the Conservancy's Bylaws, has been delegated through the provisions of the Bylaws the authority of the board in the management of the business and affairs of the Corporation between meetings of the Board; provided, however, that the Management Committee may not:(a) Fill vacancies on the Board of Governors or on any committee;(b) Amend or repeal the Articles of Incorporation or Bylaws or adopt new Bylaws;(c) Amend or repeal any resolution of the Board;(d) Designate any other committees of the Board or appoint the members of any committee;(e) Approve any transaction (i) to which the Corporation is a party and to which one or more Governors has a material financial interest; or (ii) between the Corporation and one or more of its Governors or between the Corporation and any corporation or firm in which one or more of its Governors has a material financial interest;(f) Approve any transaction involving the use of any asset of the Corporation that might threaten or impair the conservation and preservation objectives of the Corporation.

All members of the board are offered an opportunity to review the 990 and submit comments to the finance committee of the board. The members of the audit committee, along with the Executive Director and Business Manager review the Form 990 before it is filed.

Form 990, Part VI, Section B, Line 12C

The Organization sends out an annual conflict of interest letter to all board members and the Executive Director that includes a disclosure form. The disclosure form must be completed and returned to the business office, where they are reviewed for compliance. A summary of the disclosures is read into the record at a subsequent board meeting and kept on file in the business office.

Compensation upon hiring the Executive Direct was obtained through a market study of pay for similar positions. Salary increases are approved by the full board.

Financial Statement Notes

Part II, Line 5: Summarized Policy

The organization will accept unrestricted gifts and gifts for specific programs and purposes, provided such gifts are consistent with its stated mission, purposes and priorities.

Part II, Line 9: Organization Reporting of conservation easements.

Easements are legal restrictions over land not owned by the Organization. The easements have no market value, and as such are recorded at zero cost and zero market value.

Part V, Line 4: Intended uses of the endowment fund.

Endowment funds are unrestricted net assets that have been designated by the board of governors as a general quasi-endowment fund. The fund will be used to provide a continuing source of funds to support the organization's charitable programs and goals.past reporting included permanently restricted lands. Those values have been removed from endowment fund reporting on schedule d.

Part X : FIN48 Footnote

The Organizations management has considered its tax positions and believes that all of the positions taken by the Organization in its federal and state tax returns are more likely than not to be sustained on examination by taxing authorities. The Organization's Federal and California tax exempt returns are subject to examination by the federal and state taxing authorities, generally for three years after they are filed.
