Founded in 1989, the Silicon Valley Engineering Council is a non-profit educational 501 (c)(3) organization. Its purpose is to serve its member engineering and technical organizations in Silicon Valley and provide outreach to education and the community. GOALS: (1) increase public understanding of the impact of engineering and science in enhancing the quality of life. (2) Sponsor and promote engineering educational activities, programs and outreach. (3) Promote community service by the engineering and technical societies and their members. (4) Coordinate activities and assist communications among local engineering organizations. (5) Coordinate Engineers Week activities in the Silicon Valley. *NOTE TY20: no Engineers Week Banquet held due to health restrictions. Not able to develop sufficient income to support education awards this year.*

| After the removal of the then President in a March 15, 2023 Board of Directors and SVEC Council Special Meeting, the removed officer took adversarial steps to restrict access to our organization accounts. Subsequent to this date, the remaining Board of Directors has had to obtain a new website, regain the bank account, and other accounts. As of this date, that person continues to assert he is the President and is keeping up the old website and pursuing alternative Hall of Fame inductees (www.svec.org). We moved the organization to a new domain and website in FY23 with new email accounts, holding elections in July 2023 for the Board of Directors, and again in July 2024. In March 2023, we asked the Santa Clara County District Attorney to hold this person criminally liable and that investigation is ongoing. We have had to pursue civil litigation and have asked for a Declaration from the Santa Clara County Superior Court. That litigation has progressed to the last step and we are now waiting for a final decision by the Judge. Legal fees, while discounted, are still substantial. In addition, we filed copyright and trademark applications for the logo and name for the organization as further legal claim. “Bylaws were amended by the Silicon Valley Engineering Council on September 25, 2023 at an SVEC Council meeting, after review and approval by the FY24 Board of Directors. Amendment 1 - The Hall of Fame Committee was added to the standing committee list; Descriptions were added for each standing committee and committee representation was defined. Amendment 2 - notice of resignation for an officer or board member was defined in more detail. Amendment 3 -Two officers could call a meeting, not only the President. Amendment 4 - Council meeting quorums were defined to Quorum for a meeting of the Council shall consist of a representation of at least one-third of the members if the Council has 15 or more members, or a minimum of five members if the Council is less than 15 or 100% of members if the Council has less than 5 members. Amendment 5 - was a cleanup amendment on numbering, section numbers and typos.”

| IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt | 2 | After the removal of the then President in a March 15, 2023 Board of Directors and SVEC Council Special Meeting, the removed officer took adversarial steps to restrict access to our organization accounts. Subsequent to this date, the remaining Board of Directors has had to obtain a new website, regain the bank account, and other accounts. As of this date, that person continues to assert he is the President and is keeping up the old website and pursuing alternative Hall of Fame inductees (www.svec.org). We moved the organization to a new one in FY23 with new email accounts, holding elections in July 2023 for the Board of Directors, and again in July 2024. In March 2023, we asked the Santa Clara County District Attorney to hold this person criminally liable and that investigation is ongoing. We had to also pursue civil litigation and have asked for a Declaration from the Santa Clara County Superior Court. That litigation has progressed to the last step and we are now waiting for a final decision by the Judge. Legal fees, while discounted, are still substantial. In addition, we filed copyright and trademark applications for the logo and name for the organization as further legal claim. We need to eliminate this shadow organization run by the prior officer to be able to build back the Silicon Valley Engineering Council reputation and credibility in the community. |

Amendment 1 - The Hall of Fame Committee was added to the standing committee list; Descriptions were added for each standing committee and committee representation was defined. Amendment 2 - notice of resignation for an officer or board member was defined in more detail. Amendment 3 -Two officers could call a meeting, not only the President. Amendment 4 - Council meeting quorums were defined to Quorum for a meeting of the Council shall consist of a representation of at least one-third of the members if the Council has 15 or more members, or a minimum of five members if the Council is less than 15 or 100% of members if the Council has less than 5 members.
