San Jose Downtown Association

“Any person, as defined in section 5065 of the California Corporations Code, who is over the age of eighteen (18) years, and who is dedicated to the purposes of this Association shall be eligible for membership on approval of the membership application by the Board and .payment of such dues and fees as Board may fix from time to time. This Association shall have three (3) classes of members, designated as follows: (a) "Basic BID" members shall mean persons who: (i) hold a valid City of San Jose business license; (ii) do business within the geographical limits of the San Jose Downtown Business Improvement District, as such geographical limits may from time to time be defined by resolution of the San Jose City Council; and (iii) pay the dues and fees (b) "Basic Retail" member(s) shall mean persons (i) hold a valid City of San Jose business license; (ii) do business within the geographical limits of the San Jose Downtown Business Improvement District, as such geographical limits may from time to time be defined by resolution of the San Jose City Council; (iii) pay the dues and fees; and (iv) hold a valid sales permit issued by the California State Board of Equalization. (c) "Associate" member(s) shall mean persons who do not meet qualifications set forth in subsections (a) or (b), above.”

“Members shall have the rights to vote, as set forth in the Bylaws, on the election of Directors.”

“Members shall have the following rights to vote, as set forth in these Bylaws, on the disposition of all or substantially all of the assets of the Association, on any merger and its principal terms and any amendment of those terms, and on any election to dissolve the Association, and all other voting rights afforded to members under the California Nonprofit Mutual Benefit Corporation Law. Associate members shall have no voting rights.”

“The tax return is reviewed by Executive Director along with finance committee which consists of Board President and Board Treasurer.”

“The finance committee meets on a monthly basis to review financial documents. The policies are regulary reviewed by the finance and executive committee on an annual basis.”

“Review of staff performance is conducted annually. The staff performance is reviewed by a supervisor. The Executive Director's annual performance and compensation is reviewed by the Executive Committee. Both the staff and Executive Director's compensation is determined by reviewing a compensation matrix data in comparison with other similar organizations, same budget size and same geographics. All salaries are compared with other non-profit organizations with similiar budget size.”
