“Delegation of authority: the executive committee is composed of the president, vice president, secretary, and treasurer. The executive committee may have full power in emergencies and may act for the board during the interim periods between board meetings. The committee must act consistently with established board policies and/or direction. All executive committee action must be ratified and approved by a quorum of the full board of directors at the next regularly scheduled monthly meeting. Form 990, part vi, section a, line 4 significant changes to governing documents: the bylaws were amended in april 2017. The amended bylaws changed the maximum number of directors allowed on the board, and added language related to the number of absences allowed before removal on the board. The new bylaws also expanded the conflict of interest section to include more detail to the individual responsibilities and the process to monitor compliance with the policy.”

“Process to review form 990: initially the form 990 is reviewed by the cfo and any pertinent questions and concerns are communicated to the tax preparer. Once the review by the cfo is complete, the form is reviewed by the ceo and any questions or concerns are addressed to the cfo and, if needed, to the tax preparer.”

“PROCESS FOR MONITORING COMPLIANCE WITH CONFLICT OF INTEREST POLICY: Every Board member, officer, employee, contractor, or agent of HACS is responsible for ensuring that his or her conduct is consistent with these Standards of Conduct, with HACSs policies and procedures. all Board members, officers, employees, contractors or agents, as well as candidates for Board membership, annually disclose any potential conflicts of interest. No Board member, officer, employee, or agent shall participate in HACSs selection, award, or administration of any contract or grant when a real or apparent conflict of interest is involved.”

“Process for determining compensation of officers and key employees: the compensation of the chief executive officer is determined by the board of directors. The board engages a consultant to conduct an annual compensation study of similar organizations. The compensation committee reviews the study and makes recommendations to the board for approval of management compensation. The board's review and approval are documented in the meeting minutes. The compensation of the other officers and key employees is reviewed by the ceo or their direct supervisor based on their annual performance. Documentation of the reviews is kept in the human resources files.”
