Governance Explanations

The Executive Director reviews the Form 990 with the Board and answers any questions. A motion is made and approved prior to filing the Form 990 with the IRS.

Form 990, Part VI, Section B, line 12C

The policy covers directors, the principal officer, and members of a committee with governing board delegated powers, who have a direct or indirect financial interest in any transaction with the organization. Each covered person must annually sign a statement which affirms such person has received a copy of the conflicts of interest policy, has read and understands the policy, has agreed to comply with the policy, and understands the organization is charitable and in order to maintain its federal tax exemption it must engage primarily in activities which accomplish one or more of its tax-exempt purposes. After disclosure of a financial interest and all material facts, and after any discussion with the interested person, he/she shall leave the governing board meeting while the determination of a conflict of interest is discussed and voted upon. The remaining board or committee members shall decide if a conflict of interest exists. The minutes of the governing board contain: the names of the persons who disclosed or otherwise were found to have a financial interest in connection with an actual or possible conflict of interest and the names of the persons who were present for discussions and votes relating to the transaction or arrangement, the content of the discussion, including any alternatives to the proposed transaction or arrangement, and a record of any votes taken in connection with the proceedings. Periodic reviews are also conducted, pursuant to the adopted policy.

GAAP requires the evaluation of tax positions taken in the course of preparing the Foundation's tax return and recognition of a tax liability (or asset) if the Foundation has taken an uncertain position that more likely than not would not be sustained upon examination by the IRS. Management has analyzed the tax positions taken by the Foundation, and has concluded that as of December 31, 2024, there are no uncertain tax positions taken or expected to be taken that would require recognition of a liability (or asset) or disclosure in the financial statements.

IRS990/Desc0The Matagorda Bay Bathymetry Study is a comprehensive effort to map and characterize the bay bottom of West Matagorda Bay with a focus on areas not yet surveyed. The Bay is home to some of the most ecologically vital nursery habitats along the Texas Gulf Coast. Its reefs, wetlands, and open bay areas support an intricate food web, from plankton to redfish, sea turtles, and shorebirds, all the way to people who rely on these waters for recreation, sustenance and economic livelihood. The bathymetric survey enables scientists and decision-makers to prioritize areas for protection, restoration and sustainable use.

IRS990/ProgSrvcAccomActy2Grp/Desc0The Oliver Point Project is a vital initiative to restore and protect over 700 acres of estuarine tidal marsh and shallow bay habitats, along with nearly 50 acres of oyster reef habitat. Located just south of Palacios, Texas at the confluence of Tres Palacios and Matagorda Bays, this area showcases a rich diversity of estuarine environments. The project seeks to rehabilitate these critical habitats and safeguard the nesting and foraging grounds for various bird species such as Black Skimmers, American Oystercatchers, Brown Pelicans, terns, gulls and coastal wading birds. By implementing shoreline protections and restoring oyster reefs, water quality is enhanced, erosion is reduced, and the resilience of the coastal ecosytem is bolstered.

The remaining board or committee members shall decide if a conflict of interest exists. The minutes of the governing board contain: the names of the persons who disclosed or otherwise were found to have a financial interest in connection with an actual or possible conflict of interest and the names of the persons who were present for discussions and votes relating to the transaction or arrangement, the content of the discussion, including any alternatives to the proposed transaction or arrangement, and a record of any votes taken in connection with the proceedings. The organization contacted the IRS efile help desk on 11/14/25 to seek help in resolving the efile rejection. The cause of the rejection was that the IRS Exempt Organization Business Master File still showed the organization as a private foundation, but the organization received a new Determination Letter from the IRS on 9/16/2025 granting status as a public charity under IRC Sec 170(b)(1)(A)(vi). The IRS efile help desk took about 30 days to process the requested fix. The IRS contacted the organization on 12/16/25 to let them know they could re-submit the return for efile. The organization promptly resubmitted the return for efile on 12/16/25.The organization exercised ordinary business care and prudence and was nevertheless unable to file the return within the prescribed time. The organization respectfully requests abatement from late filing penalties due to the reasonable causes explained above.
