Mission

The mission of Writers in the Schools (WITS) is to engage children in the pleasure and power of reading and writing by placing professional writers in schools and community settings in order to develop creative and analytical thinking.

WITS impacts more than 52,000 children and teachers each year. Through WITS, children of every social, economic, or cultural background receive quality education from professional writers, empowering students to achieve long-term academic success.

Governance Explanations

Form 990, Part VI, Line 1A: Explanation of Delegated Broad Authority to Committee

The Executive Committee shall consist of the officers of the Corporation (the President, Past President, Vice President, Secretary and Treasurer) and the Committee Chairs. An additional Director may be designated as a member of the Executive Committee if deemed necessary by majority vote of the Directors present at a meeting at which a quorum is present. The Executive Committee shall serve at the pleasure of the Board. The President, unless absent or otherwise unable to do so, shall preside as Chair of the Executive Committee. The Committee shall meet at the call of the President or the Board, or any two (2) members of the Committee, and shall have and may exercise when the Board is not in session the power to perform all duties of every kind and character not required by law or the charter of the Corporation to be performed solely by the Board. The Executive Committee shall have authority to make rules for the holding and conduct of its meetings, keep records thereof and regularly report its actions to the Board. A majority but never less than three of the members of the Committee in office shall be sufficient to constitute a quorum at any meeting of the Committee, and all action taken at such a meeting shall be by a majority of those present. All acts performed by the Executive Committee in the exercise of its aforesaid authority, including actions between meetings of the Board, shall be deemed to be, and may be certified as, acts performed under authority of the Board. Vacancies in the Executive Committee shall be filled by appointment by the Board or by majority vote of the Directors present at a meeting at which a quorum is present. All actions of the Executive Committee shall be recorded in writing in a minute book kept for the purpose and a report of all action shall be made to the Board at its next meeting. The minutes of theBoard shall reflect that such a report was made along with any action taken by the Board with respect thereto.

Directors annually sign a statement affirming receipt of policy and agreeing to comply with policy.

Form 990, Part VI, Line 15A: Compensation Review & Approval Process - CEO, Top Management

The United Way Salary survey and salary guidelines from the NonProfit Times are both used in deciding salary for the Executive Director and staff. The Executive Committee of the board approves the Executive Directors salary after an annual review.
