Governance Explanations

Form 990, Part VI, Section B, Line 11B

The complete 990 is presented to the Board via email for review. Questions and/or comments, if any, are exchanged via email, and are addressed by Management and/or Accountants, with all recipients to the emails included in the communication.

Form 990, Part VI, Section B, Line 12C

The President/Executive Director reviews employees' responsibilities as they may relate to a potential conflict with employees on an annual basis and in the context of any specific assignments. In addition, there is an annual staff meeting during which the "conflict of interest" policy is reviewed and discussed. All staff members sign a certification that they have been provided and have read the policy, and stating whether there is any conflict or potenial conflict of interest situation of which they are aware and, if so, the situation is stated. Staff members also certify whether a conflict exists. Due to the small size of the staff and the day to day working relationship between staff and management, potential or actual conflicts are identified as work assignments are undertaken, and otherwise reviewed by management throughout the year. Board members must disclose conflicts as soon as the conflict is determined and abstain from voting on related matters. At the annual board meeting, the board reviews the "conflict of interest" policy, with updates by legal counsel. A form is signed by each board member, certifying that the conflict of interest policy was reviewed, and either that there is no conflict situation of which the board member is aware of, if there is one, the situation is outlined and the manner in which it was addressed is detailed.

Form 990, Part VI, Section B, Line 15A

The board has a written compensation policy which outlines the goals of the organization as they relate to compensation. The board periodically reviews the compensation of the CEO's of comparable non-profits, as well as the President/Executive Director's performance for purposes of determining compensation. The Board determined the President/Executive Director's salary. The President/Executive Director determines the salaries of all other employees based upon review of comparable positions in the for profit and non-profit sectors, the nature of the qualifications for the position, as well as assessing performance of the employee. Staff compensation must adhere to board approved annual budgets.

Form 990, Part VI, Section C, Line 19

The organization maintains a separate binder titled "Public Documents" which is available in the Administrative office during business hours for review by the public upon request. It contains the organization's form 990s, financial audits and organizing documents. The organization is also a member of Guidestar, and all for 990s and other documents are published on that website. It is still available upon request. Due to COVID-19, ICP has moved to a mostly virtual office so a scheduled time would need to be set for an employee to go to the office to provide the "Public Documents" binder for review. It is still available upon request.

Financial Statement Notes

Part X : FIN48 Footnote

ICP is exempt from federal income tax pursuant to Section 501(c)(3) of the Code. Income generated from activities unrelated to the Organizations exempt purpose is subject to tax under IRC Section 511. The Organization did not incur any unrelated business income tax expense for the year ended December 31, 2024. Accordingly, no provision has been made for federal income tax.GAAP requires the evaluation of tax positions taken in the course of preparing the Organizations tax returns and recognition of a tax liability (or asset) if the Organization has taken an uncertain position that more likely than not would not be sustained upon examination by the Internal Revenue Service. Management has analyzed the tax positions taken by the Organization, and has concluded that as of December 31, 2024, there are no uncertain tax positions taken or expected to be taken that would require recognition of a liability (or asset) or disclosure in the combined financial statements.

Financial assistance is provided to assist with security deposits and may include help with the cost of rental applications, utility fees, and moving expenses.C. Requirements1. ClientsEligible clients must be first-time grantees with an active housing choice voucher administered by the Dallas Housing Authority or a housing authority in ICPs jurisdiction area. ICPs jurisdiction includes Collin, Dallas, Denton, Ellis, Kaufman Rockwall, and Tarrant Counties.2. Landlord ApprovalICP accepts applications for the program from eligible clients who have received the landlord's approval to lease a unit within an eligible census tract.3. PropertiesEligible properties must be located in a Walker-designated census tract as outlined in DHAs Agreed Settlement Order approved by the U.S. District Court. Walker Target Areas are generally located in census tracts with a Black population below 43% and poverty rates below 18.2%.4. InspectionAll units secured by clients must meet HUD's housing quality standards before payment is approved.5. DisbursementsFinancial assistance payments are disbursed directly to the landlord or property owner via an Automatic Clearing House (ACH) deposit. Payments are processed upon receipt of a copy of the executed housing assistance payment (HAP) contract. Information needed for disbursement of funds is outlined on ICPs Authorization for ACH Deposit. Checks are mailed to landlord upon request.Process:1. Clients interested in receiving rental assistance are provided ICPs Request For Security Deposit Assistance form, after they have been approved for residency at a unit within an approved census tract.2. The client is requested to return the completed form along with a copy of the HCV to ICP.3. Upon receipt of the application and clients HCV, ICP confirms the landlords interest in the program. Upon confirmation of their interest, ICP emails the landlord the following forms for completion:a. Landlord Agreement for Tenant Security Deposit Assistance;b. ICPs Authorization for ACH Deposit; andc. IRS Form W-9.4. Once the completed authorization form is received, ICP earmarks the funds until the unit passes inspection, and the landlord executes the HAP contract with the housing authority.5. Upon receipt of the executed HAP contract, ICPs Mobility and Outreach Director provides the completed paperwork to ICPs Finance Director. The completed paperwork includes:a. ICPs Request For Security Deposit Assistance form;b. ICPs Landlord Agreement for Tenant Security Deposit Assistance form;c. ICPs Authorization for ACH Deposit form;d. IRS Form W-9;e. The landlords Executed HAP contract; andf. ICPs Expense Payment Requisition.6. ICPs Finance Director handles the request in accordance with ICPs financial procedures and internal controls policy.

IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt1The President/Executive Director reviews employees' responsibilities as they may relate to a potential conflict with employees on an annual basis and in the context of any specific assignments. In addition, there is an annual staff meeting during which the "conflict of interest" policy is reviewed and discussed. All staff members sign a certification that they have been provided and have read the policy, and stating whether there is any conflict or potenial conflict of interest situation of which they are aware and, if so, the situation is stated. Staff members also certify whether a conflict exists. Due to the small size of the staff and the day to day working relationship between staff and management, potential or actual conflicts are identified as work assignments are undertaken, and otherwise reviewed by management throughout the year. Board members must disclose conflicts as soon as the conflict is determined and abstain from voting on related matters. At the annual board meeting, the board reviews the "conflict of interest" policy, with updates by legal counsel. A form is signed by each board member, certifying that the conflict of interest policy was reviewed, and either that there is no conflict situation of which the board member is aware of, if there is one, the situation is outlined and the manner in which it was addressed is detailed.

The board periodically reviews the compensation of the CEO's of comparable non-profits, as well as the President/Executive Director's performance for purposes of determining compensation. The Board determined the President/Executive Director's salary. The President/Executive Director determines the salaries of all other employees based upon review of comparable positions in the for profit and non-profit sectors, the nature of the qualifications for the position, as well as assessing performance of the employee. Staff compensation must adhere to board approved annual budgets.

It contains the organization's form 990s, financial audits and organizing documents. The organization is also a member of Guidestar, and all for 990s and other documents are published on that website. It is still available upon request. Due to COVID-19, ICP has moved to a mostly virtual office so a scheduled time would need to be set for an employee to go to the office to provide the "Public Documents" binder for review. It is still available upon request.
