Governance Explanations

Form 990, Part VI, Section A, Line 1A

Delegation of authority: an executive committee is elected by the board and is able to exercise all the authority of the board in the management of the business and affairs of the university between board meetings.

Form 990, Part VI, Section B, Line 11B

Process to review form 990: the organization engages an outside accounting firm to prepare form 990. Once prepared, the form is reviewed by university staff. It is then provided to the trustees for comment prior to filing.

Form 990, Part VI, Section B, Line 12C

Process for monitoring and enforcement of conflict of interest policy: annually, the conflict of interest questionnaire is distributed to officers, trustees and key employees for completion. The completed forms are reviewed and any potential conflicts are disclosed. As a practice, trustees are asked to disclose potential conflicts of interest at each board meeting and executive committee meeting based on their review of the agenda of each meeting. A trustee declaring a conflict recuses himself/herself from consideration and voting on the conflicted agenda item.

Form 990, Part VI, Section B, Line 15A

Review of ceo compensation: the university uses national compensation surveys to determine compensation of the ceo. Compensation is then approved by the university's board of trustees following recommendations of the executive committee. The last review of compensation was conducted on august 30, 2016 by the executive committee. Since the board conducts the review during an executive session, the discussion is not captured in the minutes. Instead, the chair of the board presents any compensation decision to the vice president of finance and administration. The review is filed in the personnel file in human resources.

Other Officer and Key Employee Compensation Review: The university retained an AGB search consultant familiar with the region in 2015 to assist in the VP Finance and Administration Search. The consultant used national and regional data including Chronicle of Higher Ed, NACUBO and other University information to recommend compensation. During the VP Finance's performance review, President Slabach uses the above sources for compensation comparisons in addition to the performance review. These factors are balanced with the budget projections to determine compensation. For the review of other Key Employees, the President is the sole authority utilized for deciding the compensation. The reviews are filed in the personnel file in human resources.

IRS990/Desc0INSTRUCTION: Texas Wesleyan University was founded by the Methodist Episcopal Church in 1890 and is the longest-serving higher education institution in Fort Worth. Its historic campus includes more than 75 acres, just four miles southeast of downtown and is on one of the highest points in the city. Led by President Frederick G. Slabach, Texas Wesleyans 2020 Vision strategic plan creates a roadmap for the future of the university, with key focuses on campus enhancement through the revitalization of its Polytechnic Heights neighborhood, marketing & branding, academic distinction, financial vitality and enhancing the student experience. Texas Wesleyan offers undergraduate degrees in the schools of Business, Arts & Letters, Education and Natural & Social Sciences. Additionally, Texas Wesleyan offers graduate degrees in the schools of Business, Education and Health Professions. The University offers an honors curriculum as well as a pre-professional program. Endowed funds support scholarships, speaker series and many academic programs beyond the classroom, including study abroad programs. Official enrollment for the Fall 2016 term included 1,706 undergraduates and 675 graduate and professional students for a total enrollment of 2,381.
