Governance Explanations

Form 990, Part VI, Line 1A Delegate broad authority to A committee

In compliance with the university bylaws, an executive committee is elected by the board and is able to exercise all the authority of the board in the management of the business and affairs of the university between board meetings.

Form 990, Part VI, Line 11B Review of form 990 by governing body

The organization engages an outside accounting firm to prepare form 990. Once prepared, the form is reviewed by university staff. It is then provided to the trustees for comment prior to filing.

Form 990, Part VI, Line 12C Conflict of interest policy

Annually, the conflict of interest questionnaire is distributed to officers, trustees and key employees for completion. The completed forms are reviewed and any potential conflicts are disclosed. As a practice, trustees are asked to disclose potential conflicts of interest at each board meeting and executive committee meeting based on their review of the agenda of each meeting. A trustee declaring a conflict recuses himself/herself from consideration and voting on the conflicted agenda item.

Form 990, Part VI, Line 15A Process to establish compensation of top management official

The university uses national compensation surveys to determine compensation of the president. Compensation is then approved by the university's board of trustees following recommendations of the executive committee. The review of compensation is conducted annually by the executive committee. The chair of the board presents any compensation decision to the vice president of finance and administration. The review is documented in the executive committee's meeting minutes and filed in human resources.

For the review of other key employees, the president is the sole authority utilized for deciding the compensation. The reviews are filed in the personnel file in human resources. The president uses comparison data with research supplied by national sources and supplemented by human resources.

TEXAS WESLEYAN UNIVERSITY OFFERS UNDERGRADUATE DEGREES IN THE SCHOOLS OF ARTS AND SCIENCES, BUSINESS AND EDUCATION. ADDITIONALLY, THE UNIVERSITY OFFERS GRADUATE DEGREES IN THE SCHOOLS OF BUSINESS, EDUCATION AND HEALTH PROFESSIONS. THE UNIVERSITY HAS LAUNCHED SEVERAL ONLINE GRADUATE PROGRAMS WITHIN THE PAST SEVERAL YEARS. THE UNIVERSITY ALSO OFFERS AN HONORS CURRICULUM AND A PRE-HEALTH SCIENCE PROGRAM. ENDOWED FUNDS SUPPORT SCHOLARSHIPS, SPEAKER SERIES AND MANY ACADEMIC PROGRAMS BEYOND THE CLASSROOM. OFFICIAL ENROLLMENT FOR THE FALL 2023 TERM INCLUDE 1,980 UNDERGRADUATE AND 686 GRADUATE AND DOCTORAL STUDENTS FOR A TOTAL ENROLLMENT OF 2,666.
