Governance Explanations

form 990, part VI, section A, line 1A

delegation of authority: AN EXECUTIVE COMMITTEE IS ELECTED BY THE BOARD AND IS ABLE TO EXERCISE ALL THE AUTHORITY OF THE BOARD IN THE MANAGEMENT OF THE BUSINESS AND AFFAIRS OF THE UNIVERSITY BETWEEN BOARD MEETINGS.

form 990, part VI, section A, line 4

significant changes to governing documents: The organization amended its bylaws on November 15, 2013. Vice Presidents who are employees were listed in the bylaws in the same section as officers of the board of trustees, which confused governance issues. The board removed reference to the employee Vice Presidents of the university from this section so the governance duties of the officers of the board of trustees was more clearly stated.

form 990, part VI, section B, line 11B

process to review form 990: THE ORGANIZATION ENGAGES AN OUTSIDE ACCOUNTING FIRM TO PREPARE FORM 990. ONCE PREPARED, THE FORM IS REVIEWED BY UNIVERSITY STAFF. IT IS THEN PROVIDED TO THE TRUSTEES FOR COMMENT PRIOR TO FILING.

form 990, part VI, section B, line 12C

process for monitoring and enforcement of conflict of interest policy: ANNUALLY, THE CONFLICT OF INTEREST QUESTIONNAIRE IS DISTRIBUTED TO OFFICERS, TRUSTEES AND KEY EMPLOYEES FOR COMPLETION. THE COMPLETED FORMS ARE REVIEWED AND ANY POTENTIAL CONFLICTS ARE DISCUSSED WITH THE BOARD FOR ACTION. IN ADDITION, TRUSTEES ARE ASKED TO DISCLOSE POTENTIAL CONFLICTS OF INTEREST AT EACH BOARD MEETING AND EXECUTIVE COMMITTEE MEETING.

form 990, part VI, section B, line 15A
