The full board of directors receives the final copy of the draft form 990 for review and discussion before filing with the internal revenue service.

Form 990, Part VI, Section B, Line 12C

In connection with any actual or possible conflicts of interest, an officer or director must disclose the existence of their financial interests in fair chance, including business and family relationships in fair chance. Each officer or director is required to complete a conflict-of interest disclosure questionnaire on an annual basis. Any possible disclosed financial interest, or business and family relationships, is reviewed by the ceo and director to determine if a conflict of interest exists. (note that a financial interest or business and family relationship does not necessarily constitute a conflict of interest.) if the person disclosing the financial interest or existing business and family relationships is a current member of the executive committee, said member shall leave the meeting room during the discussion of, and the vote on, whether a conflict of interest exists. If the executive committee determines a conflict of interest exists, the executive committee shall take appropriate corrective or disciplinary actions.

The executive committee is charged with oversight of executive compensation. The executive committee, in consultation with the board chair, establishes performance metrics for the ceo. Following the close of the year, the executive committee reviews the result to determine the overall level of performance. The executive committee proposes changes in compensation for the ceo on a regular basis. The last compensation study was done in may 2022. Form 990, part vi, section b, line 15b: fair chance does not have a process for determining the compensation of its officers other than the chief executive officer. Fair chance does not have any key employees.

Financial Statement Notes

PART IV, LINE 2B:

Fair chance holds contributions on behalf of others and subsequently transfers the contributions to the designated recipients. Based on the nature of these pass-through contributions, the amounts are excluded from fair chance's revenues and expenses in accordance with gaap as fair chance is not considered the primary beneficiary and does not have explicit variance power over the contributions.

PART X, LINE 2:

Fair chance follows the authoritative guidance relating to accounting for uncertainty in income taxes included in asc topic 740-10, income taxes. These provisions provide consistent guidance for the accounting for uncertainty in income taxes recognized on an entity's financial statements and prescribe a threshold of "more likely than not" for recognition and derecognition of tax positions taken or expected to be taken in a tax return. It is fair chance's policy to recognize interest and/or penalties related to uncertain tax positions, if any, in income tax expenses. Fair chance performed an evaluation of uncertain tax positions for the year ended december 31, 2023, and determined that there were no matters that would require recognition on the financial statements or that may have any effect on its tax-exempt status. The statute of limitations generally remains open for three tax years with the u.s. Federal jurisdiction or the various states and local jurisdictions in which fair chance files tax returns.
