Mission

The usmf works to strengthen education and civic leadership for mexicans on both sides of the border and to develop greater understanding and cooperation between our two countries by operating programs with binational impact, grant-giving in mexico and fostering constructive dialogue on key binational issues.

Governance Explanations

Form 990, Part VI, Section A, Line 1

The board designates certain authority to the executive committee. The executive committee will consist of not less than three nor more than seven directors as determined by a majority of the executive committee voting at a meeting, by proxy, by consent, or by telephone. Members of the executive committee will be initially elected by the board and subsequently elected by the executive committee by a majority of the members voting at a meeting, by proxy, by consent, or by telephone. The executive committee will constitute the governing body of the corporation and will have powers conferred by the articles of incorporation, the bylaws, or the general laws of texas, and all other powers determined by the executive committee to be reasonable and useful in carrying out the purposes of the corporation and in using its best efforts to protect the exempt status of contributions to the corporation and income of the corporation. The executive committee will have the power to adopt policies not inconsistent with policies previously adopted by the board. The executive committee will adopt procedures to effect compliance with the foreign corrupt practices act; to consider a large number of potential grant projects and grantees; to investigate, review and approve all grants; to receive and audit accountings from grant recipients; to retain for the corporation sole control and discretion in the awarding of grants in mexico; to prevent earmarking by contributors of grants for specific donees; and to prevent even the appearance of conduit or agency arrangements with foreign donees. The executive committee will periodically make reports to the board, representatives of the mexican government, donors and the public about grants made and results achieved by the corporation.

The form 990 was prepared by the outside accountants and reviewed by the ceo and the treasurer. The entire board received a copy of the 990 prior to filing the return with the irs.

The conflict of interest policy is reviewed annually by each member of the board of directors. If there are any conflicts the board member will recuse him/herself from voting on the matter.

For the former ceo who retired in 2018, the board established a ceo search committee which worked with a third party to review and recommend applicants for the position, as well as suggested compensation. The last compensation review of the former ceo took place in february 2016. During the 2018 search to replace the former ceo, the board worked alone without the assistance of a third party. Compensation of other officers and staff is determined by the ceo.

Convocation: this is an educational program where experts and former ambassadors from the united states to mexico and from mexico to the united states convene yearly to discuss the future of the bilateral relationship. The main takeaways from the first discussion were published in an informative and educational document title convocation: a vision for a stronger u.s.-mexico partnership. The first convocation report has been visibly presented to educate bilateral stakeholders and interest groups in both countries. Podcast, proyecto 1954: proyecto 1954 us-mx, is a binational podcast that opens the microphones with educational and didactic purposes, to tell stories that emanate from the existing ties between mexico and the united states. With guests from both sides of the border and from different areas of expertise, the program seeks to understand different points of view on the bilateral relationship. It currently has more than 80 episodes and almost 9000 listens. Each episode is 30 minutes long on average and can be listened in different channels in both countries.
