Icota has two classes of members: director members and ordinary members. The class of ordinary member is further subdivided into non-voting delegate status and voting delegate status. Ordinary members who are eligible to participate on working committees and task groups may apply to the board of directors for voting delegate status. Each director member and ordinary member holding voting delegate status is entitled to one vote on each matter submitted to a vote at a meeting of members.

The organizations members elect the board of directors and also have the power to remove any director. To be eligible to serve on the board of directors, an individual must also be a member.

Form 990, part vi, line 1a - explanation of delegated board authority to committeethe executive board of directors is composed of icota officers & chapter delegates. The executive board manages the business & affairs of icota, subject to any limitation imposed in the bylaws & is responsible for governing icota. Responsibilities include:determining icota policy;approving icota budgets & exp;approving apps for director membership;approving chapter formation;establishing or amending qualifications & fee structure for membership;establishing or dissolving sub-committees, as necessary;conducting negotiations with other industry assocs, as required, on behalf of the assoc;providing reports & minutes of its activities. The executive board has authority to spend up to $10,000 per item.
