Governance Explanations

Form 990, Part VI, Section A, line 8B

No committee is authorized to act on behalf of the governing body.

Form 990, Part VI, Section B, line 11B

The 990 is reviewed by the Executive Director and the Director of Finance. The Director of Finance compares the information in the 990 to the annual audit report for accuracy and addresses any inconsistencies found with the auditor; any necessary corrections would be made prior to filing. The 990 is available to any board member upon request.

Form 990, Part VI, Section B, line 12C

All staff and board members are required to review the conflict of interest policy and complete and sign a conflict of interest statement at the beginning of each fiscal year. New hires and any new board members added during the year are also given this policy and are required to complete and sign the conflict of interes statement. This statement includes disclosure of all current and potential conflicts of interest.

Form 990, Part VI, Section B, line 15A

The policy of DUG is to have the Board of Directors conduct a performance review of the Executive Director, which includes a self-evaluation from the Executive Director. The Board then reviews the annual budget and financial information and on occasion does a review of prevailing market rates for a similar position, the conclusions of which come in the form of documentation of any potential increase in salary in the Board meeting minutes.

Form 990, Part VI, Section C, line 19

Financial information is available through the websites of GuideStar and the Colorado Secretary of State. Governing documents and conflict of interest policy documents are on file in the DUG office and are available for public review as requested by the general public and grant sources.

Financial Statement Notes

Part X, Line 2:

The consolidated financial statement effects of a tax position taken or expected to be taken are recognized in the financial statements when it is more likely than not, based on technical merits, that the position will be sustained upon examination. Interest and penalties, if any, are included in expenses in the consolidated statements of activities. As of December 31, 2016, Denver Urban Gardens had no uncertain tax positions that qualify for recognition or disclosure in the financial statements. Denver Urban Gardens is generally no longer subject to U.S. federal and state income tax examinations by tax authorities for years before 2014.

Part XI, Line 2D - Other Adjustments:

IRS990/ProgSrvcAccomActy2Grp/Desc0New Community Gardens and Expansions of Existing Sites: DUG comes alongside residents, schools, and stakeholders when they wish to further develop their neighborhood and have taken a thorough approach to understand if they have the capacity to create, implement, and sustain a community garden. Often times, after a community garden has been successful for several years and waitlists for participation exist, a garden may elect to expand the site to allow for increased community participation. DUG is thrilled to again, come alongside these efforts and support the expansion of the garden.

IRS990/ProgSrvcAccomActy3Grp/Desc0School Garden Support and Youth Programming: Denver Urban Gardens works in partnership with Denver Public Schools, Jefferson County Public Schools, Aurora Public Schools, Englewood Public Schools and Douglas County Public Schools, to establish community gardens at schools. Of DUG's 180 community gardens, 65 are located on the grounds of schools, with one to three new school gardens in various stages of planning each year. DUG is committed to supporting each community garden in ways appropriate to that garden's particular needs, including developing a partnership between the school community and surrounding neighbors to strengthen garden sustainability. Through the wonders of a garden, students experience hands-on lessons in: health, earth and life sciences, math, literacy, social science and community building.Denver Urban Gardens' resources and programming in school garden and nutrition education include: Helping Kids Get Healthy: A Workshop Series For Youth Educators: This ongoing workshop series is designed for teachers and volunteers; Healthy Bodies, Healthy Gardens Curriculum: builds a bridge between the school garden and the classroom by using seasonally appropriate and standards-aligned lessons; Garden to Cafeteria: opportunity for students to grow fresh fruits and vegetables in their school gardens with the aim of supplying some of their harvest to the school cafeterias to be used at lunch service; Healthy Seedlings: a 3rd-5th grade program consisting of 14 hands-on lessons each year. Lessons utilize the school-based community garden as a learning environment;School Garden Cultivator Volunteer Program: our work in school gardens is enhanced when it is supported by a committed group of volunteers, which might include on-site community gardeners, parents, grandparents or neighbors; Youth Farm Stands: In partnership with Slow Food Denver, Denver Urban Gardens works with local schools to coordinate youth-run farm stands.

IRS990/ProgSrvcAccomActyOtherGrp/Desc0DeLaney Community Farm: DeLaney Community Farm is a partnership between Denver Urban Gardens (DUG) and Project Worthmore (PWM). Our mission at DeLaney is to support refugees through sustainable agriculture and community building. The primary goals of DeLaney are to: provide the space, support, resources, and expertise for refugees to grow healthy, organically-produced food for themselves and their broader community; foster community development and integration through education and training programs, and relationship building; connect refugees to the local fresh food economy and promote economic resiliency through meaningful and dignified experiences and; demonstrate small-scale, sustainable agricultural practices that reconnect refugees with the land in a productive and environmentally responsible manner.
IRS990/ProgSrvcAccomActyOtherGrp/Desc1Grow a Garden: Seeds Seedlings and Know-How Program: Grow a Garden ensures that in-need individuals, families, seniors and groups have access to necessary seeds, seedlings and education to grow a successful, productive vegetable garden thereby improving local food security for program participants. In 2017, Grow a Garden served 2,837 individuals and 102 groups, who served approximately 19,100 individuals. Individual applicants grew an average of $361 worth of produce per household and group applicants grew approximately $2,223worth of produce per application. Because of the onsite education provided at seedling pick up, 78% of Grow a Garden workshop participants felt more able to provide food for themselves and their families and 89% of Grow a Garden workshop participants said they were better prepared for the gardening season as a result of the workshop.
IRS990/ProgSrvcAccomActyOtherGrp/Desc2Master Composter Program: A ten-session training course that prepares individuals to be Master Composters and, in turn, equips participants to share their newly acquired knowledge with others in the community. Through hands-on sessions, participants learn about a broad range of compost and recycling topics, including the science behind the composting process, resource conservation, and the effective use of recycled household materials in gardens and home landscapes.

IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt0No committee is authorized to act on behalf of the governing body.
IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt1The 990 is reviewed by the Executive Director and the Director of Finance. The Director of Finance compares the information in the 990 to the annual audit report for accuracy and addresses any inconsistencies found with the auditor; any necessary corrections would be made prior to filing. The 990 is available to any board member upon request.
IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt2All staff and board members are required to review the conflict of interest policy and complete and sign a conflict of interest statement at the beginning of each fiscal year. New hires and any new board members added during the year are also given this policy and are required to complete and sign the conflict of interes statement. This statement includes disclosure of all current and potential conflicts of interest.
IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt3The policy of DUG is to have the Board of Directors conduct a performance review of the Executive Director, which includes a self-evaluation from the Executive Director. The Board then reviews the annual budget and financial information and on occasion does a review of prevailing market rates for a similar position, the conclusions of which come in the form of documentation of any potential increase in salary in the Board meeting minutes.
IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt4Financial information is available through the websites of GuideStar and the Colorado Secretary of State. Governing documents and conflict of interest policy documents are on file in the DUG office and are available for public review as requested by the general public and grant sources.
