The texas nurses foundation (the "foundation") was established to receive contributions and provide funding to improve the health of texans through charitable initiatives that advance nursing practice, education, research, and/or leadership.

Salary, pension, and benefit expenses discussed in part vi, line 15a, and listed in part vii, section a column d and in part ix, lines 5-10 of this return represent reimbursements paid to texas nurses association as a reasonable cost allocation for the time texas nurses association employees spend on texas nurses foundation matters. Texas nurses foundation has no employees of its own. Texas nurses foundation does not have a process for determining compensation of its own, but follows the policy set by texas nurses association. The board of directors of texas nurses association conducts an annual performance review of the chief executive officer and determines any appropriate increase in base salary as well as whether or not to award any additional discretionary salary in the form of a bonus based on performance. The chief executive officer determines the base salary for all other staff compensation, and reviews those annually to determine what increases or bonuses should be awarded.

Financial Statement Notes

PART X, LINE 2:

The foundation is a non-profit organization qualifying for tax exempt status under section 501(c)(3) of the internal revenue code and, as such, is subject to income taxes only on unrelated business income in excess of $1,000. The foundation owes no federal income tax for the year ending june 30, 2020. The foundation has adopted the recognition requirements for uncertain income tax positions as required by gaap, with no cumulative effect adjustment required. Income tax benefits are recognized for income tax positions taken or expected to be taken in a tax return, only when it is determined that the income tax position will more likely than not be sustained upon examination by taxing authorities. The foundation has analyzed the tax positions taken in its filings with the internal revenue service and state jurisdictions where it operates. The foundation believes that its income tax filing positions will be sustained upon examination and does not anticipate any adjustments that would result in a material adverse effect on the foundation's financial position, changes in net assets or cash flows. Accordingly, the foundation has not recorded any reserves, or related accruals for interest and penalties for uncertain income tax positions at june 30, 2020. The organization is subject to income tax audits for the previous three tax years which are open. There are currently no income tax audits for any tax periods in progress.

THE CARE FOR THE CAREGIVER PROJECT WAS MADE POSSIBLE BY A GIFT FROM JOHNSON & JOHNSON AND INVOLVED THE DEVELOPMENT AND DISSEMINATION OF RESOURCES FOR NURSES TO BUILD THEIR RESILIENCE IN DEALING WITH DISASTER SITUATIONS.
