If potential conflicts are present, the interested party shall leave the board or committee meeting while a determination of the conflict of interest is discussed and voted upon.”

“Officer compensation: before hiring or extending the written employment contracts of either the executive director or the artistic directors, the executive committee or a specially-formed independent committee reviews houston ballet foundation data including, but not limited to, form 990 of other organizations, compenation surveys, and employment contracts. The executive committee approves the compensation of the executive director and the artistic directors. The deliberation and the decision are documented. Employee compensation: within budgetary constraints approved by the executive committee and after reviewing form 990 of other organizations, compensation surveys and employment contracts, the executive director and/or the artistic directors approve the compensation for the officers or key employees of the houston ballet foundation.”

“The houston ballet foundation's financial statements are audited as part of a combined annual audit with the houston ballet guild, inc. The foundation has an audit committee that assumes the responsibility for oversight of the audit of the financial statements and selection of an independent accountant.”
