To inspire a lasting love and appreciation for dance through artistic excellence, exhilarating performances, innovative choreography and superb educational programs. The organization maintains a company of professional dancers and orchestra that give performances in houston, tx on tour nationally and internationally throughout the year and maintains an academy that provides dance education.

Governance Explanations

Part VI, Section A, Line 1A, Governing Body

The board of trustees delegates its authority to act on its behalf to the executive committee, which has broad authority to act on behalf of the board of trustees. The executive committee consists of 25 people (chairman, president, secretary, vice president-academy, vice president-finance, vice president-institutional giving, vice president-investments, vice president-special events, trustee development and 16 members-at-large, including the houston ballet guild president) all of whom are members of the board of trustees.

The following trustees or officers have a relationship with a trustee or officer of the houston ballet foundation: mrs. Katrina arnim/mr. Cecil arnim, iii - family relationship mr. Ira brown/mrs. Ira brown - family relationship mr. James crownover/mrs. James crownover - family relationship mrs. Harry cullen/mrs. Joseph mccord - family relationship mrs. Harry mach/mrs. Steve mach - family relationship mr. James jordan/mrs. S. Shawn stephens - family relationship the following houston ballet guild trustees or officers have a relationship with a trustee or officer of the houston ballet foundation, respectively: mrs. Katrina arnim/mr. Cecil arnim, iii - family relationship mrs. Evelyn leightman/mr. E. Daniel leightman - family relationship mrs. S. Shawn stephens/mr. James jordan - family relationship part vi, section a, line 4: the organization restated its by-laws as of may 16, 2016. The significant changes made to the by-laws are as follows: 1. The members of the corporation during any fiscal year were updated to consist of (a) the founding trustees, (b) the life trustees and (c) all individuals, corporations, partnerships, limited partnerships, sole proprietorships and other legal entities which shall have contributed five hundred dollars ($500) or more to the corporation's general fund during the immediately preceding fiscal year or at any time during the first three quarters of the current fiscal year. 2. A provision was added that any elected trustee may be removed, with or without cause, by the affirmative vote of a majority of the other trustees of the corporation. 3. The officers of the organization were expanded to include a treasurer. 4. A conflicts of interest policy was added to the by-laws. The policy outlines who is subject to the policy, the duty to disclose, the procedures for reviewing and addressing any potential conflicts, and the annual disclosure requirement. 5. A nominating committee was established to (i) recruit, interview and nominate candidates to serve as members of the board of trustees, (ii) monitor the performance of members of the board of trustees to determine whether, in its judgment, the standards required from time to time for such membership have been met, and (iii) discharge any other responsibilities that the executive committee shall delegate to committees.

Part VI, Section A, Line 6, Members and Stockholders

The houston ballet foundation is an organization with members who meet annually and vote to elect the board of trustees. The members do not exercise any management authority and do not receive any share of the organization's profits or a share of the organization's net assets upon the organization's dissolution.

The trustees on the executive and audit committees were provided electronic copies of the prepared form 990 prior to its filing. The audit committee reviewed the prepared form 990 during the course of their regular meetings.

Before hiring or extending the written employment contracts of either the executive director or the artistic director, the executive committee or a specially-formed committee reviews data including, but not limited to, form 990 of other organizations, compensation surveys, and employment contracts. The executive committee approves the compensation of both the executive director and the artistic director.

Within budgetary constraints approved by the executive committee and after reviewing form 990 of other organizations, compensation surveys and employment contracts, the executive director and/or the artistic director approve the compensation for the officers or key employees of the houston ballet foundation.

Part X, Line 2, Fin 48 Footnote From the Combined Financial Statements of

Houston ballet foundation and houston ballet guild, inc: the foundation is a nonprofit organization and has been recognized as tax-exempt pursuant to section 501(c)(3) of the internal revenue code. For the year ended june 30, 2016, the foundation had no unrelated business income and no income tax is expected to be due and payable by the foundation. The foundation follows current guidance in accounting for uncertainty in income taxes. This guidance clarifies the accounting for income taxes by prescribing the minimum recognition threshold an income tax position is required to meet before being recognized in the financial statements and applies to all income tax positions. Each income tax position is assessed using a two-step process. A determination is first made as to whether it is more likely than not that the income tax position will be sustained, based on technical merits, upon examination by the taxing authorities. If the income tax position is expected to meet the more likely than not criteria, the benefit recorded in the financial statements equals the largest amount that is greater than 50% likely to be realized upon its ultimate settlement. The foundation did not recognize any uncertain tax positions upon adoption of the guidance and had no uncertain tax positions as of june 30, 2016. The income tax position taken by the foundation, for any years open under the various statutes of limitations, is that the foundation continues to be exempt from income taxes by virtue of being a nonprofit organization. Management believes this tax position meets the more-likely-than-not threshold and, accordingly, the tax benefit of this income tax position (no income tax liability) has been recognized for the years ended on or before june 30, 2016. The foundation will record income tax related interest and penalties, if applicable, as a component of the provision for income tax expense. However, there were no amounts recognized relating to interest and penalties in the statement of activities for the year ended june 30, 2016. The foundation's federal exempt organization business tax returns (form 990) for 2012 and later are subject to examination by the internal revenue service.

Reconciliation of expenses: expenses of consolidated entity (houston ballet guid, inc.) in the amount of ($2,215,835) are net with contributed income for tax return presentation and fundraising event direct expenses of ($409,719) are shown net with event revenue for tax return presentation. Total other amount included on schedule d, part xi, line 4b, but not on line 1 and schedule d, part xii, line 4b, but not on line 1 is ($2,625,554).

PART V, LINE 4 USE OF ENDOWMENT FUNDS:

Houston ballet foundation uses endowment funds to guarantee future financial security of the foundation. Endowment funds are invested to provide the foundation with long-term growth consistent with the preservation of capital and the annual budget requirement within withdrawal limitations established by the board of trustees of the foundation.
