“Any not-for-profit home, facility or service organization providing healthcare, services, or housing for the aging located in the state of oklahoma may file an application for membership. The board of directors may accept into membership any non-for-profit organization providing housing, healthcare or services to the aging. Associate membership may be granted to any business connected to service to the elderly who is in accord with the purpose of the organizaiton as stated in article ii. For-profit long-term care provders do not qualify. Associates do not have the right to vote or hold office.”

“Each member appoints one voting delegate to represent it at any annual or special meetings of the association. No vote may be cast on behalf of a member unless its dues assessed for the current calendar year have been paid.”

“Treasurer and executive director review the 990. The 990 is made available to the board before it is filed.”

“The organization has a conflict of interest policy. The board is required to complete a policy annually. Any potential conflicts are reviewed by the remaining board members. If it is determined a board member has a conflict, the individual is required to abstain from voting and may be required to leave the meeting.”

“The executive director's compensation is evaluated each fiscal year with a formal annual performance review taking place at the end of the fiscal year. The executive director evaluation committee is established to perform the evaluation and consists of the president of the board, president elect, and past president. Comparability data is used and the deliberation and decision is documented by the executive director evaluation committee.”

“The governing documents, conflict of interest policy, and financial statements are available to the public upon request.”
